All items under this Purchase Order shall be delivered to the Jerusalem Institute of Advanced Medical Sciences, 12 HaYehudim Street, Jerusalem, Israel 9710000. The supplier is responsible for safe transport, insurance, and on-site installation of all major instruments within the Israel Jerusalem campus. A dedicated technician from the supplier must be present to calibrate each piece of equipment and provide a minimum of four (4) hours of hands-on training to the Medical Researcher and her laboratory team. Delivery must be completed no later than 05 July 2025. The supplier shall coordinate with the facility management office in Israel Jerusalem to ensure compliance with all local building, safety, and environmental regulations.
- 5.1 This Purchase Order is governed by the laws of the State of Israel. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Israel Jerusalem.
- 5.2 Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice, provided that all items have been delivered, installed, and accepted in writing by the Medical Researcher, Dr. Miriam Levi.
- 5.3 The supplier warrants that all equipment and reagents are new, unused, and free from defects. A minimum warranty period of twenty-four (24) months applies to all major instruments, and twelve (12) months to consumables and reagents.
- 5.4 The Medical Researcher reserves the right to reject any item that does not conform to the specifications outlined in this Purchase Order. Rejected items must be replaced within ten (10) business days at no additional cost.
- 5.5 The supplier shall comply with all applicable Israeli regulations, including those issued by the Ministry of Health, the Israel Standards Institute (SII), and the Israel Institute of Standards (SII) regarding the import, storage, and use of laboratory equipment and biological reagents in Israel Jerusalem.
- 5.6 All data generated using the procured equipment remains the intellectual property of the Jerusalem Institute of Advanced Medical Sciences and the Medical Researcher. The supplier shall not claim any rights over research data or findings.
- 5.7 Late delivery beyond the stipulated date of 05 July 2025 shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
- 5.8 This Purchase Order may be amended only by mutual written agreement between the Medical Researcher (or her authorized delegate) and the supplier.
