- This Purchase Order is issued by the undersigned Medical Researcher on behalf of the Tel Aviv University Faculty of Medicine and is governed by the laws of the State of Israel.
- All items listed in this Purchase Order shall be delivered to the designated laboratory facility located in Israel Tel Aviv, 6997801, no later than 30 August 2025. Late delivery shall incur a penalty of 1.5% of the total Purchase Order value per week of delay.
- The Medical Researcher, Dr. Yael Ben-Shimon, reserves the right to inspect all equipment and reagents upon arrival at the Israel Tel Aviv campus. Any item found to be defective, damaged, or non-conforming to the specifications outlined in this Purchase Order shall be replaced at the vendor's sole expense within 14 business days.
- Payment shall be made via bank transfer to the vendor's designated account in Israel Tel Aviv within 45 calendar days of the date of invoice, provided that all goods have been accepted in full by the Medical Researcher and the receiving laboratory manager.
- All imported equipment must comply with the Israeli Standards Institute (SII) regulations and the Ministry of Health of Israel guidelines for laboratory and medical research equipment. The vendor shall provide all necessary import permits, CE/ISO certifications, and safety documentation prior to delivery in Israel Tel Aviv.
- The vendor shall provide a minimum 24-month warranty on all capital equipment (Items 01–04) and a 12-month warranty on consumables and reagents. Warranty service must be available within the Israel Tel Aviv metropolitan area.
- This Purchase Order does not constitute a binding contract until countersigned by both the Medical Researcher and the authorized representative of the vendor. Any amendments to this Purchase Order must be made in writing and signed by both parties.
- All data and biological materials handled under this Purchase Order are subject to the Israeli Privacy Protection Law, 5741-1981, and the regulations of the Israeli Ministry of Health regarding human tissue and genetic research.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Israel Tel Aviv in accordance with the rules of the Israel Arbitration Association.

Installation: Vendor's certified technicians shall perform on-site installation and calibration of all capital equipment at the Israel Tel Aviv laboratory. The Medical Researcher's laboratory staff will be present during installation for operational training.
Training: A minimum of 8 hours of hands-on training for the Medical Researcher team shall be provided for each major instrument (Items 01 and 02).
