- Acceptance: This Purchase Order shall become binding upon written acceptance by the Medical Researcher within ten (10) business days of the date of issue. Failure to respond within this period shall constitute a declination of this Purchase Order.
- Performance Location: All services described in this Purchase Order shall be performed primarily at the research facilities located in Italy Naples, Campania. The Medical Researcher is expected to be physically present at the Naples laboratory a minimum of four (4) days per week.
- Intellectual Property: All research data, findings, publications, and intellectual property generated during the term of this Purchase Order shall be the sole property of the Istituto di Ricerca Biomedica di Napoli. The Medical Researcher shall assign all rights accordingly.
- Compliance: The Medical Researcher shall comply with all applicable Italian and European Union regulations governing medical research, including but not limited to GDPR (EU 2016/679), the Italian Data Protection Code (D.Lgs. 196/2003 as amended), and the ethical guidelines of the local ethics committee in Italy Naples.
- Payment Schedule: Payment shall be made in quarterly instalments of EUR 80,925.00, due within thirty (30) days of the end of each calendar quarter. Invoices shall be issued in accordance with Italian invoicing regulations (fatturazione elettronica).
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination for convenience, the Medical Researcher shall be compensated for all services rendered up to the effective date of termination.
- Confidentiality: The Medical Researcher agrees to maintain strict confidentiality regarding all proprietary data, patient information, and unpublished research findings encountered during the performance of this Purchase Order in Italy Naples.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the competent courts of Italy Naples, Campania, in accordance with Italian law.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting research operations in Italy Naples.
