NOTE: All equipment and reagents listed in this Purchase Order are procured exclusively for the use of the designated Medical Researcher, Dr. Awa Konan, and her supervised research team at the Centre de Recherche en Santé Publique in Ivory Coast Abidjan. Items are subject to the regulatory oversight of the Ivorian Ministry of Health and the National Agency for Research (ANR-CI). The Medical Researcher is responsible for ensuring all imported materials comply with local biosafety and importation regulations prior to customs clearance at the Port of Vridi, Abidjan. 4. TERMS AND CONDITIONS

Delivery: All items shall be delivered to the receiving laboratory at Boulevard Latrille, Cocody, Abidjan, Ivory Coast, no later than 30 August 2025. Delivery is DDP (Delivered Duty Paid) to the Ivory Coast Abidjan facility. The supplier bears all risk of loss until goods are received and signed for by the Medical Researcher or designated procurement officer.
Payment Terms: 40% advance payment upon confirmation of this Purchase Order; 60% balance due within 30 days of successful delivery and inspection. Payment shall be made via wire transfer to the supplier's designated bank account in USD. The Medical Researcher's institution will process payment through the Ivory Coast Abidjan central accounts office.
Warranty: All capital equipment carries a minimum 24-month manufacturer's warranty from the date of installation in Ivory Coast Abidjan. Reagents and consumables must have a minimum shelf life of 18 months at the time of delivery. The Medical Researcher reserves the right to reject any item that does not meet the specifications stated in this Purchase Order.
Regulatory Compliance: The supplier shall provide all necessary documentation, including certificates of origin, material safety data sheets (MSDS), and export permits, to facilitate customs clearance in Ivory Coast. The Medical Researcher's institution will handle local import licensing with the Ivorian authorities in Abidjan.
Installation & Training: The supplier shall provide on-site installation of all capital equipment and a minimum of 40 hours of hands-on training for the Medical Researcher and up to six (6) laboratory technicians at the Ivory Coast Abidjan facility. Training materials shall be provided in both English and French.
Intellectual Property: All research data generated by the Medical Researcher using the equipment and materials purchased under this Purchase Order remains the sole property of the Centre de Recherche en Santé Publique, Abidjan. The supplier claims no rights over research outputs.
Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Abidjan, Ivory Coast, in accordance with the rules of the Ivorian Chamber of Commerce. The governing law shall be the laws of the Republic of Côte d'Ivoire.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to port strikes at Vridi, Abidjan, government import restrictions in Ivory Coast, or international shipping disruptions.
