All equipment specified in this Purchase Order shall be delivered to the Osaka Metropolitan Medical Research Institute laboratory, 3-1-51 Nakanoshima, Kita-ku, Japan Osaka, no later than 05 August 2025. The supplier is responsible for freight, insurance, and customs clearance (if applicable for imported components). Installation must be completed within ten (10) business days of delivery. The Medical Researcher, Dr. Nakamura, or her designated laboratory manager must sign the installation acceptance certificate before the equipment is deemed operational. All calibration certificates must be issued in accordance with the Japan Industrial Standards (JIS) and submitted to the institute's quality assurance office in Japan Osaka within five (5) business days of installation completion.
5.1 This Purchase Order is governed by the laws of Japan and the commercial regulations applicable in the Osaka Prefecture jurisdiction. 5.2 Payment shall be made via bank transfer to the supplier's designated account within forty-five (45) days of receipt of a valid tax invoice. 5.3 The supplier warrants that all equipment is new, unused, and free from defects for a minimum period of twenty-four (24) months from the date of installation acceptance. 5.4 Any delay in delivery beyond the stipulated deadline shall incur a penalty of 0.5% of the total Purchase Order value per calendar day, capped at 10% of the total value. 5.5 The Medical Researcher's laboratory shall have unrestricted access to all technical documentation, firmware updates, and remote diagnostic support for the duration of the maintenance contract. 5.6 All data generated on the bioinformatics workstations (Item 008) shall remain the exclusive intellectual property of the Osaka Metropolitan Medical Research Institute and the Medical Researcher's research group. 5.7 This Purchase Order may not be assigned or subcontracted without prior written consent from the buyer.
IMPORTANT NOTE: This Purchase Order has been reviewed and approved by the Medical Researcher, Dr. Aiko Nakamura, and the Procurement Committee of the Osaka Metropolitan Medical Research Institute. All procurement activities are conducted in full compliance with the Japan Osaka municipal research funding regulations (Ordinance No. 2024-117) and the national MHLW guidelines for medical research equipment acquisition.
