This Purchase Order is issued by the Tokyo Metropolitan Institute of Advanced Medical Sciences to formally authorize the procurement of specialized Medical Researcher services and associated laboratory equipment for deployment in Japan Tokyo.   1. Payment Terms: Payment shall be made in four equal quarterly installments of 17,500,000 JPY, due within thirty (30) days of invoice receipt. The first installment is due upon confirmation of the Medical Researcher's onboarding at the Japan Tokyo facility.
  2. Delivery and Installation: All laboratory equipment listed under this Purchase Order must be delivered, installed, and fully operational at the designated Japan Tokyo site no later than 15 August 2025. The supplier is responsible for all shipping, customs clearance (if applicable), and on-site installation within Japan Tokyo.
  3. Medical Researcher Qualifications: The primary Medical Researcher engaged under this Purchase Order must submit a verified curriculum vitae, proof of Japanese work visa eligibility, and references from at least three prior institutional supervisors prior to the start date. Failure to meet these requirements constitutes grounds for termination of this Purchase Order without penalty.
  4. Intellectual Property: All research findings, publications, patents, and proprietary data generated by the Medical Researcher and their team during the term of this Purchase Order shall be the exclusive property of the Tokyo Metropolitan Institute of Advanced Medical Sciences. The Medical Researcher agrees to assign all intellectual property rights in writing.
  5. Compliance with Japanese Law: All activities conducted under this Purchase Order in Japan Tokyo shall comply with the Act on the Safety of Pharmaceuticals and Medical Devices, the Act on the Promotion of Research and Development of Regenerative Medicine, Stem Cell Therapy, and Advanced Medical Technologies, and all applicable local ordinances of Tokyo Metropolis.
  6. Confidentiality: The Medical Researcher and all personnel engaged under this Purchase Order shall maintain strict confidentiality regarding patient data, unpublished research results, and proprietary methodologies. A separate Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of work in Japan Tokyo.
  7. Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Medical Researcher shall complete all ongoing data documentation and transfer all laboratory materials to the purchasing entity within the Japan Tokyo facility.
  8. Warranty: All equipment procured under this Purchase Order carries a minimum two-year manufacturer warranty. The supplier shall provide on-site technical support within forty-eight (48) hours of any reported malfunction at the Japan Tokyo installation site.
  9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Tokyo, Japan Tokyo, under the rules of the Japan Commercial Arbitration Association.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Medical Researcher and procurement of associated services and equipment in Japan Tokyo. This document constitutes a binding agreement effective from the date of the last signature.
