All items specified in this Purchase Order shall be delivered to the Nairobi Institute of Medical Sciences and Research, Research Block C, Kenyatta National Hospital Campus, Ngara, Nairobi, Kenya. The supplier is required to complete delivery and full installation within thirty (30) calendar days from the date of this Purchase Order. The Medical Researcher, Dr. Kamau, or her designated laboratory technician shall be present at the time of delivery to inspect all items for damage, completeness, and conformity with the specifications outlined herein. The supplier shall provide a written warranty of no less than twenty-four (24) months on all capital equipment and twelve (12) months on consumables. Delivery within the Kenya Nairobi metropolitan area is included in the quoted price; any delivery to locations outside Nairobi County shall be subject to a separate written agreement.

Payment for this Purchase Order shall be made in accordance with the following schedule: (a) Forty percent (40%) of the Grand Total, amounting to KES 2,640,899.20, shall be paid as an advance upon signing of this Purchase Order and submission of a valid tax invoice by the supplier. (b) The remaining sixty percent (60%), amounting to KES 3,961,348.80, shall be paid within fourteen (14) days following successful delivery, installation, calibration, and written acceptance by the Medical Researcher and the NIMSR Procurement Committee. All payments shall be made via bank transfer to the supplier's designated account. The supplier must provide a valid Tax Invoice compliant with the Kenya Revenue Authority (KRA) eTIMS system. Late payment beyond the stipulated period shall attract interest at the rate of 1.5% per month as per Kenyan commercial law.

(a) This Purchase Order is governed by the laws of the Republic of Kenya. Any disputes arising from this Purchase Order shall be resolved through arbitration in Nairobi, Kenya, in accordance with the Arbitration Act, 1995.
(b) The supplier warrants that all equipment and reagents supplied are new, unused, and free from defects. All reagents must carry valid certificates of analysis and be within their stated shelf life at the time of delivery.
(c) The Medical Researcher reserves the right to reject any item that does not meet the specified standards or that fails to comply with KEBS and PPB regulations applicable to medical research in Kenya Nairobi.
(d) The supplier shall maintain full insurance coverage for all goods in transit and during installation.
(e) This Purchase Order may be amended only by mutual written agreement signed by both parties. No verbal modifications shall be binding.
(f) The supplier shall comply with all applicable environmental, health, and safety regulations of the National Environment Management Authority (NEMA) of Kenya during delivery and installation.
(g) Intellectual property and data generated from the use of these materials by the Medical Researcher shall remain the sole property of NIMSR and the funding bodies.
