All items referenced in this Purchase Order shall be delivered to the Medical Researcher's laboratory facility located at the Faculty of Medicine and Pharmacy, University Hassan II, Casablanca, Morocco. Delivery is scheduled no later than 30 August 2025. The supplier shall be responsible for transportation, customs clearance (where applicable for imported components), installation, and initial calibration of all equipment at the Casablanca site. A written delivery confirmation signed by the Medical Researcher or his designated laboratory manager shall be required upon receipt.
4. PAYMENT TERMSPayment shall be made in Moroccan Dirhams (MAD) via bank transfer to the supplier's designated account at Attijariwafa Bank, Casablanca branch. The payment schedule is as follows: 40% advance payment upon signing of this Purchase Order; 50% upon confirmed delivery and installation at the Casablanca laboratory; and 10% upon successful completion of the 30-day performance warranty period. Late payments shall incur a penalty of 1.5% per month in accordance with Moroccan commercial law (Code de Commerce, Article L.441-10).
5. TERMS AND CONDITIONS5.1 This Purchase Order is governed by the laws of the Kingdom of Morocco. Any disputes arising from the interpretation or execution of this document shall be subject to the exclusive jurisdiction of the Commercial Court of Casablanca.
5.2 The Medical Researcher reserves the right to inspect all delivered goods prior to acceptance. Any item found defective, damaged, or non-conforming to the specifications outlined in this Purchase Order shall be replaced or refunded within 15 business days at the supplier's sole expense.
5.3 All equipment must comply with the Moroccan standards set forth by the Moroccan Standards and Quality Agency (IMANOR) and, where applicable, the European CE marking requirements. The supplier warrants that all items are new, unused, and free from any encumbrance.
5.4 The supplier shall provide a minimum 24-month warranty on all capital equipment and a 12-month warranty on consumables and reagents. Warranty service shall be performed at the Casablanca laboratory site at no additional cost to the Medical Researcher.
5.5 The supplier acknowledges that the procured items are intended for academic medical research purposes and shall not be used for any commercial diagnostic or therapeutic application without separate written authorization from the Medical Researcher and the University Hassan II Ethics Committee.
5.6 Force majeure events, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the Casablanca port or national logistics, shall extend delivery timelines proportionally without penalty to either party.
5.7 This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein. Amendments must be made in writing and signed by both the Medical Researcher and the authorized representative of the supplier.
