This Purchase Order is issued by the Amsterdam Institute for Advanced Biomedical Sciences (AIVB) to formally engage the services of a qualified Medical Researcher for a defined period of professional research activity conducted within the jurisdiction of Netherlands Amsterdam. The scope of this engagement encompasses the design, execution, and documentation of clinical and translational research protocols in the field of cardiovascular genomics. The Medical Researcher shall operate under the institutional oversight of AIVB and shall comply with all applicable Dutch and European Union regulations governing medical research, including the Dutch Medical Research Involving Human Subjects Act (WMO) and the European Clinical Trials Regulation (EU) No 536/2014.

This Purchase Order constitutes the binding financial and operational framework under which the Medical Researcher shall deliver the specified research services. All deliverables, milestones, and compensation structures outlined herein are subject to the terms and conditions set forth in Section 6 of this document.

Payment shall be made in accordance with the following milestone-based schedule. Invoices must be submitted to the AIVB Accounts Payable department in Amsterdam, Netherlands, and shall reference this Purchase Order number (PO-2025-AMST-04782) in all correspondence.

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of the Netherlands. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the District Court of Amsterdam, Netherlands.
  2. Compliance with Medical Research Regulations: The Medical Researcher shall ensure full compliance with the Dutch Medical Research Involving Human Subjects Act (Wet medisch-onderzoek naar mensen, WMO), the Dutch Data Protection Act (UAVG), and all relevant European Union directives. The Medical Researcher shall maintain all necessary certifications and registrations with the Dutch Ministry of Health, Welfare and Sport.
  3. Intellectual Property: All research data, findings, publications, and intellectual property generated under this Purchase Order shall be the sole property of AIVB. The Medical Researcher shall assign all rights, titles, and interests in such deliverables to AIVB upon creation.
  4. Confidentiality: The Medical Researcher shall maintain strict confidentiality regarding all proprietary data, patient information, and unpublished research findings. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  5. Insurance and Liability: The Medical Researcher shall maintain professional liability insurance with a minimum coverage of EUR 2,000,000 per claim, valid throughout the duration of the engagement in Netherlands Amsterdam. A certificate of insurance shall be provided prior to the commencement of work.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, AIVB shall pay for all services rendered up to the date of termination. In the event of termination for cause (material breach), the terminating party shall be entitled to claim damages in accordance with Dutch contract law.
  7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, government-imposed restrictions in the Netherlands, or acts of war.
  8. Anti-Corruption and Ethics: The Medical Researcher warrants that no part of the compensation under this Purchase Order shall be used to offer, pay, or accept any bribe or improper inducement in violation of Dutch or EU anti-corruption legislation.
  9. Amendments: Any amendment to this Purchase Order must be made in writing and signed by both parties. Verbal modifications shall have no legal effect.
  10. Language: This Purchase Order is executed in English. In the event of any discrepancy between the English version and any Dutch translation, the English version shall prevail.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Medical Researcher in Netherlands Amsterdam.
