3. PURPOSE AND SCOPE

This Purchase Order is issued by the Abuja Medical Research Institute to procure specialized laboratory equipment, reagents, and consumables required for the ongoing work of a senior Medical Researcher conducting a multi-year study on malaria pathogenesis and antimalarial drug resistance in the FCT region. 5. TERMS AND CONDITIONS

Delivery: All items under this Purchase Order shall be delivered to the Abuja Medical Research Institute, Plot 14, Area 9, Garki, Abuja, FCT, Nigeria, no later than 28 June 2025. The supplier is responsible for all logistics, customs clearance (where applicable for imported goods), and installation within the Nigeria Abuja premises.
Quality Assurance: The Medical Researcher, Dr. Emeka Nwosu, reserves the right to inspect and test all delivered equipment and reagents upon arrival. Any item found to be defective, expired, or non-conforming to the specifications stated in this Purchase Order shall be replaced at the supplier's sole expense within seven (7) working days.
Payment: Payment of the full net amount of NGN 32,492,500.00 shall be made within thirty (30) calendar days from the date of successful delivery and acceptance, via bank transfer to the supplier's designated account. The Medical Researcher's department must issue a written acceptance certificate before the payment clock begins.
Warranty: All capital equipment carries a minimum two-year comprehensive warranty covering parts, labour, and on-site service in Nigeria Abuja. Reagents and consumables must have a minimum shelf life of eighteen (18) months from the date of delivery.
Regulatory Compliance: The supplier warrants that all biological reagents, kits, and diagnostic materials comply with NAFAC/NAFDAC regulations in force in Nigeria Abuja. Copies of all relevant permits, certificates of analysis, and import documentation must accompany the delivery.
Intellectual Property: All data generated by the Medical Researcher using the procured equipment remains the exclusive property of the Abuja Medical Research Institute. The supplier shall not claim any rights over research outputs.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government policy changes in Nigeria, natural disasters, or pandemics, provided written notice is given within 48 hours of the event.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through arbitration in Abuja, FCT, in accordance with the Arbitration and Conciliation Act, Cap A18, LFN 2004.
Validity: This Purchase Order is valid for sixty (60) days from the date of issue. If the supplier does not confirm acceptance in writing within fourteen (14) days, this Purchase Order shall lapse automatically.

NOTE: This Purchase Order was prepared at the specific request of the Medical Researcher, Dr. Emeka Nwosu, Principal Investigator, Malaria Genomics Unit, Abuja Medical Research Institute. All items have been vetted by the AMRI Procurement Committee and approved by the Director of Research. The supplier is reminded that failure to meet the delivery deadline in Nigeria Abuja may result in a penalty of 1% of the total contract value per day of delay, up to a maximum of 10%. 6.
