- Delivery Location: All items shall be delivered to the Instituto de Investigación Biomédica del Pacífico, Av. Javier Prado Este 4800, San Isidro, Peru Lima, 15087. The supplier is responsible for all transportation, customs clearance (if applicable for imported goods), and insurance until the goods are received and signed for by the designated Medical Researcher or their authorized laboratory manager.
- Payment Terms: Payment shall be made via bank transfer to the supplier's account within 30 calendar days from the date of invoice issuance, subject to satisfactory inspection and acceptance of all goods. A 40% advance payment will be released upon signing of this Purchase Order, and the remaining 60% upon final delivery and commissioning.
- Warranty: All equipment carries a minimum 24-month manufacturer's warranty from the date of installation. The Medical Researcher team will conduct a 72-hour operational test prior to final acceptance. Any defects discovered during this period must be rectified by the supplier at no additional cost.
- Regulatory Compliance: All reagents, biological materials, and equipment must comply with Peruvian health regulations as enforced by DIGEMID and MINSA. The supplier must provide all necessary import permits, sanitary certificates, and technical documentation in Spanish and English.
- Training: The supplier shall provide a minimum of 16 hours of on-site training for the Medical Researcher and up to four (4) laboratory technicians at the Peru Lima facility. Training materials must be provided in both Spanish and English.
- Penalties for Late Delivery: A penalty of 0.5% of the total Purchase Order value per calendar day of delay shall apply, up to a maximum of 10%. Delays exceeding 30 days beyond the stated delivery window entitle the buyer to cancel this Purchase Order without penalty.
- Intellectual Property: All data generated using the procured equipment in the course of the Medical Researcher's research project remains the exclusive property of the Instituto de Investigación Biomédica del Pacífico.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Republic of Peru. Any disputes shall be resolved in the competent courts of Peru Lima.
