- All payments under this Purchase Order shall be made in United States Dollars (USD) via international wire transfer to the Supplier's designated bank account.
- Payment Schedule: 30% advance payment upon execution of this Purchase Order; 40% upon confirmed arrival and onboarding of the Medical Researcher in Russia Moscow; 30% upon successful completion of the 12-month contract term.
- Invoices shall be submitted monthly by the 5th business day. Payment is due within 30 calendar days of invoice receipt.
- All applicable Russian federal and municipal taxes, including Value Added Tax (VAT) at the rate of 20%, shall be calculated and remitted in accordance with the Tax Code of the Russian Federation.
- Late payments shall incur a penalty of 0.5% per calendar day on the outstanding balance, capped at 10% of the total Purchase Order value.
- The Supplier shall ensure that the Medical Researcher meets all academic and professional qualifications specified in Annex A of this Purchase Order prior to deployment in Russia Moscow.
- The Medical Researcher shall commence duties no later than 1 August 2025 at the MIABR facility in Russia Moscow.
- The Supplier warrants that the Medical Researcher shall possess a minimum of 8 years of post-doctoral research experience in molecular biology, oncology, or regenerative medicine.
- All research activities conducted by the Medical Researcher shall comply with the ethical standards set forth by the Russian Ministry of Health and the institutional ethics committee of MIABR.
- The Medical Researcher shall produce a minimum of 3 peer-reviewed publications in internationally recognized journals during the contract term.
- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives.
- Any modifications to this Purchase Order must be made in writing and signed by both parties. Verbal agreements shall hold no legal force.
- This Purchase Order shall be governed by and interpreted in accordance with the civil law of the Russian Federation, with particular reference to the regulations applicable to scientific research institutions in Russia Moscow.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, the matter shall be submitted to arbitration under the rules of the Moscow Arbitration Court.
- The Supplier shall maintain full confidentiality regarding the identity, research data, and proprietary methodologies of the Medical Researcher and MIABR throughout and for 5 years following the termination of this Purchase Order.
- Force majeure events, including but not limited to natural disasters, governmental sanctions, or public health emergencies affecting Russia Moscow, shall suspend obligations under this Purchase Order for the duration of the event.
- This Purchase Order is valid for a period of 90 days from the date of issue. If not executed within this period, a new Purchase Order must be generated.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Medical Researcher at the Moscow Institute of Advanced Biomedical Research, Russia Moscow.
