- Delivery Location: All items shall be delivered to the Institute of Molecular Medicine, 7/9 Universitetskaya Embankment, Saint Petersburg, 199034, Russia. The Medical Researcher or her designated laboratory manager shall sign the delivery receipt upon arrival.
- Delivery Timeline: Standard laboratory consumables (Items 3–6, 9–10) must be delivered within 10 business days of this Purchase Order confirmation. Capital equipment (Items 1, 2, 7, 8) must be delivered, installed, and calibrated within 45 calendar days.
- Payment Terms: Payment shall be made via bank transfer to the seller's account within 30 days of the invoice date. A 50% advance payment is required upon confirmation of this Purchase Order. The remaining 50% is due upon successful installation and acceptance of all capital equipment in Saint Petersburg.
- Warranty: All capital equipment carries a minimum 24-month manufacturer warranty. Consumables and reagents must have a shelf life of no less than 12 months from the date of delivery.
- Compliance: All products must comply with the regulatory standards of the Ministry of Health of the Russian Federation and the Federal Service for Surveillance in Healthcare (Roszdravnadzor). The seller guarantees that all imported reagents and equipment meet GOST and applicable EU CE marking requirements.
- Acceptance: The Medical Researcher shall have 5 business days following delivery to inspect and test all received items. Any discrepancies, damage, or non-conformity must be reported in writing to the seller within this period.
- Intellectual Property & Data: All research data generated using the procured equipment remains the sole property of the Institute of Molecular Medicine and Dr. Sokolova. No third-party data collection is permitted on any software-embedded devices.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the Civil Code of the Russian Federation. Any disputes shall be resolved through arbitration in Saint Petersburg, Russia.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or supply chain disruptions affecting delivery within the Russian Federation.
