All equipment and materials referenced in this Purchase Order shall be delivered to the King Fahd Medical Research Institute, Al Olaya District, Riyadh, Saudi Arabia, no later than 15 July 2025. The supplier is responsible for all freight, customs clearance (if applicable for imported components), insurance, and last-mile delivery within the Riyadh metropolitan area. Installation and calibration of all capital equipment must be completed within five (5) business days of physical delivery. The Medical Researcher, Dr. Al-Qahtani, or her designated laboratory manager shall sign the delivery and installation acceptance certificate. The supplier must provide a minimum of ten (10) business days' written notice prior to the scheduled delivery date to allow the receiving team at the Riyadh facility to prepare the laboratory space, verify electrical and ventilation requirements, and coordinate with the institute's facilities management office.

  • 6.1 This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia and the Saudi Civil Transactions Law (Royal Decree No. M/191, 2023). Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Riyadh, Saudi Arabia.
  • 6.2 The supplier warrants that all equipment and reagents conform to the specifications outlined in the attached technical annex (Annex A) and comply with the Saudi Food and Drug Authority (SFDA) registration requirements for medical and laboratory devices.
  • 6.3 A minimum 24-month warranty is provided on all capital equipment from the date of installation acceptance. Consumables and reagents carry a shelf-life guarantee of no less than 12 months from the date of delivery to the Riyadh laboratory.
  • 6.4 Payment shall be made via bank transfer to the supplier's designated account in Saudi Riyal (SAR) within forty-five (45) calendar days from the date of a valid, tax-compliant invoice issued in accordance with the ZATCA (Zakat, Tax and Customs Authority) e-invoicing requirements.
  • 6.5 The supplier shall not subcontract any portion of the installation or training services without prior written consent from the Buyer's procurement office in Riyadh.
  • 6.6 All data generated by the Medical Researcher using the procured equipment remains the sole intellectual property of the King Fahd Medical Research Institute. The supplier shall not access, store, or transmit any research data.
  • 6.7 Late delivery beyond the stipulated date of 15 July 2025 shall incur a penalty of 0.5% of the total Purchase Order value per calendar day, capped at 10% of the total value.
  • 6.8 This Purchase Order may be amended only by mutual written agreement signed by both parties. Verbal modifications are not valid.

This Purchase Order has been reviewed and approved by the undersigned authorized representatives. The Medical Researcher, Dr. Layla Hassan Al-Qahtani, has confirmed that the items listed herein are necessary for the continuation of her approved research protocol (Protocol No. MR-RIY-2025-014) and that the budget allocation from the institute's research grant (Grant Ref: KACST-2025-0892) is sufficient to cover the total value of this Purchase Order.
