All items under this Purchase Order shall be delivered to the IRSPD main laboratory, Avenue Cheikh Anta Diop, Plateau, Senegal Dakar, within 45 calendar days from the date of this Purchase Order. The supplier is responsible for all international shipping, customs clearance at the Port of Dakar, and final delivery to the receiving address. The Medical Researcher team requires undamaged, fully calibrated equipment upon arrival. A pre-delivery inspection by the IRSPD technical committee in Senegal Dakar will be conducted within 5 business days of arrival. Any discrepancies must be reported in writing to the supplier within 10 business days.
5. PAYMENT TERMSPayment for this Purchase Order shall be made in three installments via international wire transfer to the supplier's designated bank account:
30% (30,026,280 XOF) — upon confirmation of this Purchase Order and shipment dispatch.
50% (50,043,800 XOF) — upon successful delivery and acceptance inspection in Senegal Dakar.
20% (20,017,520 XOF) — upon completion of installation, calibration, and the Medical Researcher team training session.
Late payments shall incur a penalty of 1.5% per month. The supplier must provide a detailed commercial invoice referencing Purchase Order number PO-SEN-DKR-2025-0472 with each shipment.
6. TERMS AND CONDITIONS- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties.
- All equipment must comply with the West African Health Organization (WAHO) standards and Senegalese regulatory requirements for medical research instruments.
- The supplier warrants that all items are new, unused, and free from defects for a minimum period of 24 months from the date of acceptance in Senegal Dakar.
- The Medical Researcher program is funded under a bilateral health research grant; the supplier acknowledges that all equipment is procured for non-commercial, academic, and public health research purposes.
- The supplier shall provide a minimum of 5 years of spare parts availability and technical support for all major equipment items listed in this Purchase Order.
- Any modification to this Purchase Order must be made in writing and signed by both parties. Verbal agreements are not binding.
- Governing law: This Purchase Order shall be governed by the laws of the Republic of Senegal. Disputes shall be resolved through arbitration in Dakar, Senegal Dakar, in accordance with the rules of the OHADA arbitration center.
- The supplier must comply with all environmental and waste disposal regulations applicable in Senegal Dakar regarding the packaging and disposal of any hazardous materials associated with the delivered equipment.
