This Purchase Order is issued by the Singapore Singapore Institute of Advanced Biomedical Sciences (hereinafter referred to as the "Buyer") to Meridian Research Consultancy Pte. Ltd. (hereinafter referred to as the "Supplier") for the engagement of qualified Medical Researcher professionals to conduct, oversee, and deliver a comprehensive clinical and preclinical research programme. The scope of work under this Purchase Order encompasses the recruitment, deployment, and management of a team of certified Medical Researcher personnel who will operate within the laboratories and clinical facilities located in Singapore Singapore. All activities governed by this Purchase Order shall comply with the regulatory frameworks established by the Singapore Singapore Health Sciences Authority (HSA), the Singapore Singapore Ministry of Health (MOH), and the relevant institutional review boards operating within Singapore Singapore.

All Medical Researcher personnel engaged under this Purchase Order shall commence their duties no later than 1 August 2025 at the designated research facilities in Singapore Singapore. The Supplier shall ensure that each Medical Researcher holds the requisite qualifications, professional registrations, and valid work permits or employment passes as mandated by the Singapore Singapore Immigration and Checkpoints Authority (ICA). The full performance period under this Purchase Order shall extend from 1 August 2025 through 31 July 2026, unless otherwise extended by mutual written agreement between the Buyer and the Supplier.
Payment for all services and goods specified in this Purchase Order shall be made in Singapore Dollars (SGD) via electronic funds transfer to the Supplier's designated bank account. The Buyer shall process payments on a quarterly basis, with invoices due within thirty (30) calendar days from the date of receipt of a valid invoice. A 2% early payment discount shall apply if the Buyer remits payment within fifteen (15) calendar days of the invoice date. All payments are subject to the Buyer's internal financial approval protocols as established by the Singapore Singapore Institute of Advanced Biomedical Sciences.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Singapore Singapore. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Singapore Singapore in accordance with the rules of the Singapore International Arbitration Centre (SIAC).
- Confidentiality: All data, findings, and proprietary information generated by the Medical Researcher team during the course of this engagement shall be treated as strictly confidential. The Supplier and all Medical Researcher personnel shall execute non-disclosure agreements compliant with the Singapore Singapore Personal Data Protection Act (PDPA) prior to commencing any research activities.
- Intellectual Property: All intellectual property, including but not limited to patents, publications, datasets, and research methodologies developed by the Medical Researcher team under this Purchase Order, shall vest exclusively in the Buyer, the Singapore Singapore Institute of Advanced Biomedical Sciences, unless otherwise stipulated in a separate written agreement.
- Compliance and Ethics: The Supplier warrants that all Medical Researcher personnel shall adhere to the ethical standards set forth by the Singapore Singapore National Research Ethics Committee (NREC) and the Declaration of Helsinki. Any breach of ethical protocols shall constitute a material breach of this Purchase Order and may result in immediate termination.
- Insurance and Indemnity: The Supplier shall maintain professional indemnity insurance with a minimum coverage of SGD 2,000,000 per occurrence for all Medical Researcher activities conducted within Singapore Singapore. The Supplier shall indemnify and hold harmless the Buyer against any claims, losses, or liabilities arising from the negligence or misconduct of the Medical Researcher team.
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice to the other party. In the event of a material breach, the non-breaching party may terminate this Purchase Order immediately upon written notice. Upon termination, the Supplier shall ensure an orderly transition of all ongoing Medical Researcher projects and deliver all research data and materials to the Buyer within fourteen (14) days.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government-imposed restrictions in Singapore Singapore, or acts of war. The affected party shall notify the other party in writing within five (5) business days of the occurrence of such event.
- Anti-Corruption: Both parties represent and warrant that no bribe, kickback, or improper payment has been offered, given, or received in connection with this Purchase Order, in full compliance with the Singapore Singapore Prevention of Corruption Act (PCA).
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Medical Researcher services within the jurisdiction of Singapore Singapore. This Purchase Order constitutes a binding contractual agreement upon execution by authorised representatives of both parties.
