Payment Terms: Net 45 days from the date of confirmed delivery and acceptance at the Spain Valencia facility. Payment shall be made via bank transfer to the account specified by the vendor. The Purchase Order number PO-VBRI-2025-00847 must be referenced on all invoices.
Delivery: All items listed in this Purchase Order shall be delivered to the Valencia Biomedical Research Institute, Spain Valencia, no later than 30 July 2025. The vendor is responsible for all shipping, insurance, and customs clearance (if applicable) within the territory of Spain Valencia.
Acceptance: The Medical Researcher, Dr. Carmen Ruiz, or her designated delegate shall inspect all delivered equipment within five (5) business days of arrival. Acceptance is contingent upon successful commissioning and verification that all instruments meet the specifications outlined in this Purchase Order.
Warranty: All equipment carries a minimum 24-month manufacturer's warranty from the date of acceptance. The vendor shall provide prompt replacement or repair of any defective components at no additional cost to the Medical Researcher's department.
Compliance: All products and services procured under this Purchase Order must comply with the applicable regulations of the Spanish Agency for Medicines and Medical Devices (AEMPS) and the European Union Medical Device Regulation (EU) 2017/745, as enforced in Spain Valencia.
Intellectual Property: Any proprietary software, data, or documentation delivered in connection with this Purchase Order for the Medical Researcher's use shall remain the property of the vendor, with a non-exclusive, non-transferable license granted to the Medical Researcher and the Valencia Biomedical Research Institute for internal research purposes only.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Spain Valencia region.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain, with jurisdiction vested in the courts of Spain Valencia.
Confidentiality: Both parties agree to maintain strict confidentiality regarding the research objectives, data, and methodologies associated with the Medical Researcher's program. No information contained in or derived from this Purchase Order shall be disclosed to third parties without prior written consent.

This Purchase Order has been issued to support the ongoing recruitment and operational setup of a senior Medical Researcher position at the Valencia Biomedical Research Institute. The Medical Researcher, whose appointment is effective 1 September 2025, will lead a multidisciplinary team focused on translational oncology research. All equipment and services procured under this Purchase Order are specifically allocated to the Medical Researcher's laboratory suite (Room B-304, Spain Valencia campus) and shall not be reallocated without written authorization from the Director of Research. The vendor is requested to coordinate delivery scheduling with the Medical Researcher's office to ensure minimal disruption to ongoing clinical trials conducted at the Spain Valencia site.
