- This Purchase Order is issued by Helvetia Biomedical Research Institute AG, Switzerland Zurich, and constitutes a binding offer to purchase the goods and services listed herein. Acceptance by the supplier shall be confirmed in writing within five (5) business days.
- All equipment and materials are procured specifically for the use of the designated Medical Researcher, Dr. Elena Marchetti, PhD, and her research team within the Neurodegenerative Disease Research Unit. The items are intended for clinical research purposes under the Swiss Human Research Act (HRA) and applicable cantonal regulations in the Canton of Zurich.
- Delivery shall be made to the Switzerland Zurich laboratory address specified in Section 2. The supplier is responsible for all packaging, insurance, and transportation costs. Risk of loss transfers to the buyer upon physical receipt and inspection at the Switzerland Zurich facility.
- All instruments must comply with Swiss Federal Office of Public Health (FOPH) regulations, ISO 9001:2015 quality standards, and CE marking requirements. The Medical Researcher reserves the right to reject any item that does not meet the specified technical parameters or regulatory standards applicable in Switzerland Zurich.
- Warranty: All capital equipment carries a minimum two-year manufacturer's warranty from the date of installation and acceptance. Consumable reagents carry a minimum six-month shelf life from the date of delivery. The supplier shall provide full technical support and spare parts availability for a period of five (5) years.
- Payment shall be made by bank wire transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the Swiss National Bank reference rate plus 2% per annum.
- This Purchase Order is governed by the laws of the Swiss Confederation. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Switzerland Zurich, Canton of Zurich.
- The supplier acknowledges that the goods are being purchased for a Medical Researcher conducting sensitive neurodegenerative disease research. All data related to this Purchase Order, including delivery schedules and technical specifications, shall be treated as confidential in accordance with the Swiss Federal Act on Data Protection (FADP).
- Force majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Switzerland Zurich.
- This Purchase Order may be amended only by mutual written agreement signed by authorized representatives of both parties. No oral modifications shall be binding.
