The Medical Researcher shall commence duties no later than 1 August 2025 at the SBRI research campus in Thailand Bangkok. All laboratory equipment listed in Items 02 through 03 must be delivered, installed, and fully operational by 20 July 2025. Reagent deliveries (Item 04) shall follow a quarterly schedule aligned with the research calendar. Technical support (Item 05) is effective from the date of equipment installation. The data management software (Item 06) must be deployed and user-trained by 15 July 2025. The insurance policy (Item 07) must be active prior to the Medical Researcher's first working day.
Payment for this Purchase Order shall be made in Thai Baht (THB) via bank transfer to the supplier's designated account. The payment schedule is as follows: (a) 30% advance payment upon acceptance of this Purchase Order; (b) 40% upon successful delivery, installation, and acceptance of all equipment and the Medical Researcher's onboarding; (c) 30% upon completion of the 12-month contract period and final acceptance of all deliverables. Invoices must reference Purchase Order number PO-2025-BKK-04782. Payment terms are net 30 days from the date of invoice receipt. Late payments shall accrue interest at the rate prescribed by the Thai Civil and Commercial Code.
- This Purchase Order is governed by the laws of the Kingdom of Thailand. Any disputes arising from this Purchase Order shall be resolved through arbitration in Thailand Bangkok under the rules of the Thai Arbitration Institute.
- The Medical Researcher engaged under this Purchase Order must hold a valid medical license issued by the Thai Medical Council and a doctoral degree in a relevant biomedical or clinical research field. Proof of qualifications must be submitted prior to commencement.
- All research activities conducted by the Medical Researcher in Thailand Bangkok must comply with the Personal Data Protection Act B.E. 2562 (2019) and the NRCT ethical review requirements. The supplier is responsible for ensuring the Medical Researcher adheres to these regulations.
- Intellectual property generated by the Medical Researcher during the term of this Purchase Order shall be the sole property of SBRI, as stipulated in the separate Intellectual Property Agreement attached as Annex A.
- The supplier warrants that all equipment delivered to the Thailand Bangkok facility is new, free from defects, and conforms to the specifications outlined in Annex B of this Purchase Order.
- Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Medical Researcher shall complete all ongoing experiments and submit a comprehensive handover report to SBRI management in Thailand Bangkok.
- Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated closures in Thailand Bangkok, shall suspend obligations under this Purchase Order for the duration of the event, provided written notice is given within 7 days.
- This Purchase Order constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether oral or written.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Medical Researcher and the procurement of associated services and equipment in Thailand Bangkok.
