- This Purchase Order is issued by Dr. Elif Kaya, Senior Medical Researcher, on behalf of the Istanbul University Medical Research Institute, and is binding upon acceptance by the supplier. All goods and services described herein are intended exclusively for the Medical Researcher laboratory operations conducted in Turkey Istanbul.
- Delivery of all items shall be made to the address specified in the Buyer Information section. The supplier is responsible for all transportation, insurance, and customs clearance within the Republic of Turkey. The designated delivery location is the Medical Research Institute, Cerrahpaşa Campus, Fatih, Istanbul, Turkey.
- Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of the invoice date, provided that all goods have been received, inspected, and accepted by the Medical Researcher in accordance with the specifications outlined in this Purchase Order.
- All equipment must comply with the current regulations of the Turkish Ministry of Health (Sağlık Bakanlığı) and the Turkish Standards Institution (Türk Standartları Enstitüsü — TSE). The supplier warrants that all items are new, unused, and free from defects in materials and workmanship.
- The Medical Researcher reserves the right to reject any item that does not meet the specified technical parameters. Rejected items must be replaced at the supplier's sole expense within fourteen (14) business days of written notice from the buyer.
- Intellectual property and data generated through the use of the purchased equipment in the Turkey Istanbul research facility remain the exclusive property of the Medical Researcher and the Istanbul University Medical Research Institute.
- This Purchase Order is governed by the laws of the Republic of Turkey. Any disputes arising from this document shall be subject to the exclusive jurisdiction of the commercial courts of Istanbul, Turkey.
- The supplier shall provide a minimum two-year warranty on all capital equipment and a twelve-month warranty on consumables and reagents. Warranty service must be performed at the Medical Researcher's facility in Istanbul or at a mutually agreed service center within the Turkey Istanbul metropolitan region.
- Force majeure events, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting operations in Turkey Istanbul, shall temporarily suspend obligations under this Purchase Order without penalty to either party.
- This Purchase Order constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.
