- Payment Terms: 30% advance payment upon acceptance of this Purchase Order; 60% upon delivery and installation at the Abu Dhabi facility; 10% upon successful commissioning and acceptance by the Medical Researcher team. All payments shall be made in United Arab Emirates Dirhams (AED) via bank transfer to the supplier's designated account.
- Delivery: All items listed in this Purchase Order shall be delivered to the Abu Dhabi Advanced Medical Research Institute, Khalifa Medical City, Al Reem Island, Abu Dhabi, United Arab Emirates. The supplier is responsible for all shipping, customs clearance, and local logistics within the United Arab Emirates Abu Dhabi jurisdiction.
- Warranty: The supplier shall provide a minimum 24-month warranty on all capital equipment. Consumables and reagents are warranted to be free from defects at the time of delivery. The Medical Researcher team shall conduct a 14-day acceptance testing period prior to final sign-off.
- Regulatory Compliance: All equipment and reagents must comply with the regulations set forth by the Department of Health — Abu Dhabi (DoH-AD) and the Abu Dhabi Health Services Company (SEHA) standards. The supplier shall provide all necessary certificates of conformity, MSDS sheets, and import permits required for the United Arab Emirates Abu Dhabi market.
- Intellectual Property: This Purchase Order does not transfer any intellectual property rights. All proprietary software bundled with equipment remains the property of the manufacturer. The Medical Researcher at ADAMRI is granted a perpetual, non-transferable license for institutional use.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or disruptions to trade routes affecting the United Arab Emirates Abu Dhabi region.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, with jurisdiction vested in the courts of Abu Dhabi.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the research objectives of the Medical Researcher, the specifications of the equipment, and all commercial terms contained in this Purchase Order.
