Purpose of This Purchase Order
This Purchase Order is issued by the Dubai Advanced Medical Research Institute to procure specialized laboratory equipment, reagents, and professional services required to support the work of a senior Medical Researcher conducting clinical trials and genomic studies within the United Arab Emirates Dubai jurisdiction. This document governs the terms, conditions, pricing, and delivery schedule for all items and services listed herein. Delivery and Installation
All equipment and materials referenced in this Purchase Order shall be delivered to the DAMRI laboratory facility located at Sheikh Zayed Road, Downtown Dubai, United Arab Emirates Dubai, no later than 30 July 2025. The supplier shall be responsible for freight, customs clearance at Jebel Ali Port or Dubai International Airport (as applicable), and on-site installation. A qualified Medical Researcher from the purchasing organization shall be present during installation to verify that all instruments meet the operational specifications required for the ongoing clinical research programme. The supplier shall provide a minimum of 48 hours' written notice prior to delivery to the designated receiving office in the United Arab Emirates Dubai.
Payment Terms
Payment for this Purchase Order shall be made in United Arab Emirates Dirhams (AED) via bank transfer to the supplier's designated account. The payment schedule is as follows: (a) 30% advance payment (AED 216,546.75) due within 10 business days of acceptance of this Purchase Order; (b) 50% (AED 360,911.25) due upon confirmed delivery and successful installation of all equipment at the United Arab Emirates Dubai facility; (c) 20% (AED 144,364.50) due upon completion of the 30-day performance warranty period and sign-off by the responsible Medical Researcher. Late payments shall incur a penalty of 1.5% per month as stipulated under UAE commercial law.
Warranty and Quality Assurance
All equipment supplied under this Purchase Order carries a minimum 24-month manufacturer's warranty from the date of installation. The supplier guarantees that all items conform to ISO 13485 medical device quality standards and are fully compliant with the regulatory requirements of the UAE Ministry of Health and Prevention. Any equipment found to be defective or non-conforming within the warranty period shall be repaired or replaced at no additional cost to the purchasing organization. The Medical Researcher overseeing the laboratory shall conduct quarterly performance verification tests and report any anomalies to the supplier within 5 business days.
Terms and Conditions
- This Purchase Order constitutes a binding agreement between the parties upon written acceptance by both the buyer and the seller. It is governed by the laws of the United Arab Emirates and the specific commercial regulations of the emirate of Dubai.
- The supplier shall not subcontract any portion of the work described in this Purchase Order without prior written consent from the purchasing organization.
- All intellectual property generated by the Medical Researcher during the course of the research programme supported by the equipment procured herein shall remain the sole property of the Dubai Advanced Medical Research Institute.
- The supplier shall maintain full insurance coverage for all goods in transit within the United Arab Emirates Dubai and shall provide a certificate of insurance upon request.
- Any disputes arising from this Purchase Order shall be resolved through the Dubai International Financial Centre (DIFC) Courts or, at the buyer's discretion, through arbitration under the rules of the Dubai International Arbitration Centre (DIAC).
- Force majeure events, including but not limited to natural disasters, government sanctions, or public health emergencies declared by the UAE authorities, shall temporarily suspend obligations under this Purchase Order for a period not exceeding 60 days.
- The supplier shall comply with all data protection and patient confidentiality obligations under UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data when handling any research-related materials.
- This Purchase Order may only be amended by a written addendum signed by authorized representatives of both parties.
