All items listed in this Purchase Order shall be delivered to the Thames Valley Biomedical Research Institute premises at 142 Whitechapel Road, London E1 1DU, United Kingdom. Delivery must be completed no later than 28 June 2025. The supplier is responsible for all freight, insurance, and handling charges within the United Kingdom. Capital equipment (Items 01, 02, 03, 06, and 07) must be installed, calibrated, and certified by qualified engineers prior to handover. The Medical Researcher, Dr. Ashworth, or her designated laboratory manager must sign the installation acceptance certificate before the Purchase Order is deemed fulfilled.
- 5.1 This Purchase Order is governed by the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom London.
- 5.2 Payment shall be made by BACS transfer within thirty (30) calendar days of receipt of a valid tax invoice, provided all goods and services have been delivered and accepted in accordance with this Purchase Order.
- 5.3 The supplier warrants that all goods are new, unused, and free from defects in materials and workmanship for a period of not less than twenty-four (24) months from the date of delivery.
- 5.4 The supplier shall comply with all applicable UK health and safety regulations, including the Health and Safety at Work etc. Act 1974, and the Control of Substances Hazardous to Health (COSHH) Regulations 2002, particularly given the nature of the Medical Researcher's work with biological materials.
- 5.5 The supplier shall maintain adequate public liability insurance (minimum £10,000,000) and professional indemnity insurance throughout the duration of this Purchase Order.
- 5.6 Late delivery beyond the specified date shall incur a penalty of 0.5% of the total Purchase Order value per calendar day, up to a maximum of 5%.
- 5.7 The institute reserves the right to reject any goods that do not conform to the specifications outlined in this Purchase Order or the attached technical annexes.
- 5.8 All data and intellectual property generated through the use of the supplied equipment by the Medical Researcher shall remain the sole property of the institute.
This Purchase Order is issued and authorised by the undersigned on behalf of the Thames Valley Biomedical Research Institute. The supplier's acceptance of this Purchase Order constitutes a binding contract for the supply of goods and services as described herein.
