1. Delivery and Acceptance

All goods and services specified in this Purchase Order shall be delivered to the Manchester Institute of Advanced Medical Sciences, 42 Whitworth Street West, Manchester, M1 3DB, United Kingdom. 4. Compliance and Regulatory Requirements

All products supplied under this Purchase Order must comply with applicable United Kingdom regulations, including the UKCA marking requirements, the Health and Safety at Work etc. Act 1974, and the Carriage of Dangerous Goods and Use of Transportable Pressure Equipment Regulations 2009. The supplier warrants that all reagents and biological materials are CE/UKCA certified and accompanied by full Material Safety Data Sheets (MSDS) and certificates of analysis.

5. Intellectual Property and Data

All data generated by the Medical Researcher using the equipment procured under this Purchase Order remains the exclusive property of the Manchester Institute of Advanced Medical Sciences. The supplier shall not claim any rights over research outputs, publications, or patent filings arising from the use of the supplied instruments.

6. Cancellation and Modification

This Purchase Order may be amended or cancelled in whole or in part by mutual written agreement between both parties. Cancellation of capital equipment orders after the supplier has placed a manufacturing order may be subject to a cancellation fee not exceeding 15% of the affected order value.

7. Governing Law

This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
