TERMS AND CONDITIONS- Scope of Purchase Order: This Purchase Order (PO-MR-2025-04187) is issued by the Atlantic Coast Medical Research Institute to procure specialized laboratory equipment, consumable supplies, and professional services necessary to support the ongoing research program led by the designated Medical Researcher, Dr. Elena Vasquez, Ph.D., at the institute's facility located in United States Miami, Florida. All items and services described herein are subject to the terms set forth in this document.
- Acceptance & Inspection: Upon delivery to the specified location in Miami, Florida, the Medical Researcher and the institute's facilities management team shall inspect all equipment within five (5) business days. Any defects, missing components, or non-conformities must be reported in writing to the supplier within the inspection window. Failure to report within this period shall constitute acceptance of the goods.
- Delivery & Risk of Loss: The supplier shall deliver all items to the address listed in the Buyer section, located in United States Miami, no later than July 15, 2025. Title and risk of loss shall transfer to the Buyer upon physical delivery and signature of the receiving manifest at the Miami facility. The supplier is responsible for all packaging, crating, and secure transport to the United States Miami delivery site.
- Payment: Payment of the total amount of $115,510.00 USD shall be made via wire transfer to the supplier's designated bank account within thirty (30) calendar days of the date of the supplier's invoice, provided that all goods have been accepted and all services have been satisfactorily completed. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with Florida state commercial code provisions applicable in United States Miami.
- Warranty: All capital equipment shall carry a minimum manufacturer's warranty of twenty-four (24) months from the date of installation, in addition to the extended 36-month warranty plan specified in Line Item 7. The Medical Researcher laboratory shall be entitled to on-site service calls within the United States Miami metropolitan area within twenty-four (24) hours of a reported malfunction.
- Compliance & Regulatory: The supplier warrants that all equipment and materials comply with applicable United States federal regulations, including but not limited to those enforced by the U.S. Food and Drug Administration (FDA), the Occupational Safety and Health Administration (OSHA), and the Florida Department of Health. All equipment intended for use in human-subject research by the Medical Researcher must meet Institutional Review Board (IRB) standards.
- Confidentiality: The supplier acknowledges that the Medical Researcher and the institute handle proprietary research data and human biological samples. The supplier and its personnel shall not disclose, access, or retain any confidential information encountered during installation, service, or delivery activities at the Miami facility.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States, and the federal laws of the United States applicable to commercial transactions in United States Miami. Any disputes arising under this Purchase Order shall be resolved through binding arbitration in Miami-Dade County, Florida.
- Amendments: No modification, amendment, or cancellation of this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. The Medical Researcher or the institute's procurement officer must approve any changes to scope, quantity, or delivery schedule.
