- Scope of Work: This Purchase Order authorizes the engagement of qualified Medical Researcher personnel and the procurement of associated equipment and services exclusively for the oncology biomarker study referenced above. All Medical Researcher activities shall be conducted in compliance with institutional protocols established by the Metropolitan Biomedical Research Institute in United States New York City.
- Compliance and Regulation: The Medical Researcher and all subcontracted personnel must adhere to all applicable federal, state, and municipal regulations, including but not limited to HIPAA privacy standards, FDA Good Clinical Practice (GCP) guidelines, and the New York City Health Code. The supplier warrants that all equipment delivered to the United States New York City facility meets or exceeds current FDA 510(k) clearance requirements.
- Delivery and Installation: All equipment items shall be delivered to the buyer's facility at 1420 Fifth Avenue, United States New York City, NY 10028, no later than July 15, 2025. Installation and calibration must be completed within five (5) business days of delivery. The Medical Researcher team shall be available for operational training within ten (10) business days of installation.
- Payment Schedule: Payment shall be made in accordance with the Net 30 terms specified above. An initial deposit of twenty-five percent (25%) of the Purchase Order total is due upon execution. The remaining balance shall be invoiced in quarterly installments aligned with the Medical Researcher project milestones. All payments shall be processed via wire transfer to the supplier's designated account in United States New York City.
- Confidentiality and Data Protection: All data generated by the Medical Researcher during the course of this engagement is classified as proprietary and protected under the buyer's intellectual property policies. The supplier and the Medical Researcher personnel shall execute a separate Non-Disclosure Agreement (NDA) prior to commencing work. Data storage and transmission must comply with NYC local data residency requirements.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the supplier shall deliver all completed work products, raw data, and laboratory records to the buyer's Medical Researcher team in United States New York City within fifteen (15) days of the termination effective date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York, United States. Any disputes arising from this document shall be resolved through binding arbitration in United States New York City in accordance with the rules of the American Arbitration Association.
- Insurance: The supplier shall maintain comprehensive general liability insurance with a minimum coverage of $2,000,000 per occurrence and professional liability (malpractice) insurance of $5,000,000, naming the buyer as an additional insured. Certificates of insurance shall be provided prior to the Medical Researcher commencing on-site work in United States New York City.
