4. Terms and Conditions
4.1 This Purchase Order constitutes a binding agreement between the Bay Area Institute for Advanced Medical Sciences, located in United States San Francisco, California, and Pacific Scientific Instruments, Inc. All terms herein shall be governed by the laws of the State of California and applicable federal regulations.
4.2 The Medical Researcher designated under this Purchase Order, Dr. Elena Vasquez, shall serve as the primary technical recipient and acceptance authority for all equipment and supplies. Final acceptance of each item shall be documented in writing within ten (10) business days of delivery and installation at the United States San Francisco laboratory facility.
4.3 Payment shall be remitted via wire transfer to the supplier's designated account within thirty (30) calendar days of the invoice date, provided that all items have been accepted in accordance with Section 4.2. Late payments shall accrue interest at a rate of 1.5% per month.
4.4 All equipment must comply with current FDA regulations, OSHA safety standards, and the institutional biosafety guidelines of the Bay Area Institute. The supplier warrants that all items are new, unused, and free from defects in materials and workmanship for a minimum period of three (3) years from the date of acceptance.
4.5 The supplier shall provide a detailed packing list, certificates of analysis, and all applicable regulatory documentation (including CE and FDA 510(k) clearance where applicable) prior to shipment. All shipments to the United States San Francisco address shall be insured for the full value of the goods.
4.6 In the event of non-conforming or damaged goods, the Medical Researcher shall notify the supplier in writing within five (5) business days of delivery. The supplier shall, at its sole expense, replace or repair the affected items within fifteen (15) business days.
4.7 This Purchase Order may not be assigned or transferred by either party without the prior written consent of the other. Any modifications to scope, pricing, or delivery schedule must be executed as a written amendment signed by both parties.
4.8 The supplier acknowledges that the equipment procured under this Purchase Order will be used exclusively for academic medical research purposes by the designated Medical Researcher and her team at the United States San Francisco facility. No commercial resale or sub-licensing of software components is permitted.
5. Special Instructions and Notes
Note to Supplier: All deliveries must be coordinated with the Facilities Management Office at the United States San Francisco campus at least 48 hours in advance. The loading dock (Dock B) is accessible Monday through Friday, 7:00 AM to 4:00 PM Pacific Time. The Medical Researcher's laboratory (Room 714, 7th Floor) requires a 48-hour lead time for utility connections (electrical, gas, and data) prior to equipment installation. Please schedule the installation and training services (Item #009) for the week of July 7, 2025, to allow the Medical Researcher to begin the new research protocol by July 14, 2025.
