Payment for this Purchase Order shall be made as follows:

2. 50% on Shipment (USD 84,793.00) due upon presentation of the Bill of Lading and Certificate of Origin confirming dispatch from the supplier's facility.
3. 10% Final Payment (USD 16,958.60) due within fifteen (15) business days after successful installation, calibration, and acceptance of all equipment by the Medical Researcher and the laboratory's quality assurance team in Uzbekistan Tashkent.

All payments shall be made via irrevocable Letter of Credit (LC) issued by the National Bank of Uzbekistan, Tashkent branch, in favor of MediTech Global Supply Co., Ltd. The LC shall be valid for 120 days from the date of issue.

1. This Purchase Order is governed by the laws of the Republic of Uzbekistan and, where applicable, the United Nations Convention on Contracts for the International Sale of Goods (CISG).
2. All equipment must carry a minimum two-year manufacturer's warranty and comply with ISO 13485 medical device quality standards.
3. The supplier shall provide comprehensive training for the Medical Researcher and up to ten (10) laboratory technicians in Tashkent on the operation, maintenance, and troubleshooting of all delivered equipment.
4. Any dispute arising from this Purchase Order shall be resolved through arbitration in Tashkent, Uzbekistan, under the rules of the International Commercial Arbitration Court at the Chamber of Commerce and Industry of Uzbekistan.
5. The supplier warrants that all items are new, unused, and free from any liens or encumbrances. Reagents and consumables must have a minimum shelf life of eighteen (18) months from the date of delivery.
6. Force majeure events, including but not limited to natural disasters, government sanctions, or international trade restrictions affecting Uzbekistan, shall extend delivery timelines proportionally.
7. This Purchase Order becomes null and void if not accepted in writing by the supplier within twenty (20) calendar days of the date of issue.
