- Delivery Location: All goods and services under this Purchase Order shall be delivered to the IIMC research laboratory at Av. Panteón, Edif. Centro Médico, Piso 7, Caracas, Distrito Capital, Venezuela. The supplier is responsible for all logistics, customs clearance, and final delivery within the Venezuela Caracas metropolitan area.
- Delivery Timeline: Complete delivery of all items is required within forty-five (45) calendar days from the date of this Purchase Order approval. Major equipment (Items 01, 02, 05, 06, 09) must arrive no later than day 35 to allow adequate time for installation and calibration before the Medical Researcher team commences the next phase of the clinical trial.
- Payment Terms: Payment shall be made in three installments: 40% upon signing and confirmation of this Purchase Order, 40% upon delivery and acceptance of all goods at the Venezuela Caracas facility, and 20% upon successful completion of installation, calibration, and operator training. Payment will be processed via bank transfer to the supplier's account in accordance with Venezuelan Central Bank (BCV) foreign exchange regulations.
- Quality Assurance: All equipment must be new, unused, and accompanied by manufacturer's warranty certificates (minimum two years). All reagents and consumables must carry valid expiration dates of no less than eighteen (18) months from the date of delivery. The Medical Researcher and the IIMC Quality Assurance Committee reserve the right to inspect and reject any item that does not meet the specified technical parameters.
- Regulatory Compliance: The supplier guarantees that all items comply with the regulations of the Ministerio del Poder Popular para la Salud de Venezuela, the Instituto Nacional de Investigaciones Científicas (INCI), and applicable international standards (ISO 9001, CE marking where applicable). Import permits and sanitary certifications for Venezuela shall be the sole responsibility of the supplier.
- Warranty and Support: The supplier shall provide on-site technical support in Venezuela Caracas for a period of twelve (12) months following installation. Response time for any equipment malfunction shall not exceed forty-eight (48) hours. Spare parts for the first year are included in the total price.
- Confidentiality: The supplier acknowledges that this Purchase Order supports sensitive medical research conducted by a Medical Researcher under a federally funded grant. All parties agree to maintain strict confidentiality regarding the nature, scope, and findings of the research project. No information derived from this procurement shall be disclosed to third parties without written consent from IIMC.
- Force Majeure: Neither party shall be held liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, currency control restrictions in Venezuela, or public health emergencies affecting the Venezuela Caracas region.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Bolivarian Republic of Venezuela. Any disputes arising from this agreement shall be resolved through arbitration in Caracas, Venezuela, in accordance with the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas.
