4.1 Scope of Engagement: This Purchase Order authorizes the procurement of professional Meteorologist services as detailed in Section 3. The Meteorologist shall perform all duties in accordance with the standards set by the Bangladesh Meteorological Department (BMD) and the Bangladesh Meteorological Council. All forecasts, analyses, and advisory reports shall be specifically tailored to the geographic and climatic conditions of Bangladesh Dhaka, including its coastal proximity, riverine systems, and urban heat island effects.
4.2 Commencement and Duration: The services under this Purchase Order shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, concluding on 30 June 2026, unless terminated earlier in accordance with Clause 4.6. The Meteorologist is expected to be physically present in Bangladesh Dhaka for a minimum of five (5) working days per month for on-site data collection, station maintenance, and stakeholder meetings.
4.3 Payment Schedule: Payment shall be made in four (4) equal quarterly installments of BDT 1,046,500 each, due within thirty (30) days of the end of each calendar quarter. The first installment is due by 30 September 2025. All payments shall be made via bank transfer to the account designated by the Meteorologist in Bangladesh Dhaka. Late payments shall attract interest at the rate of 1.5% per month as per Bangladesh commercial lending norms.
4.4 Deliverables and Reporting: The Meteorologist shall submit a comprehensive written report to the Purchasing Entity by the 5th of each month. Reports shall include daily forecast summaries, anomaly analyses, and actionable recommendations for Bangladesh Dhaka municipal planning, transportation authorities, and disaster management agencies. All data shall be provided in both printed and digital (PDF and CSV) formats.
4.5 Intellectual Property and Confidentiality: All meteorological data, models, analyses, and reports generated under this Purchase Order shall remain the exclusive property of the Purchasing Entity. The Meteorologist shall not disclose proprietary forecasting methodologies or raw data to any third party without prior written consent. Confidentiality obligations shall survive the termination of this Purchase Order for a period of three (3) years.
4.6 Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. The Purchasing Entity may terminate immediately if the Meteorologist fails to meet performance benchmarks for two consecutive months, or if the professional license issued by the Bangladesh Meteorological Council is suspended or revoked. Upon termination, the Meteorologist shall be compensated for all services rendered up to the termination date.
4.7 Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation in Bangladesh Dhaka. If unresolved within sixty (60) days, the matter shall be referred to arbitration under the Arbitration Act, 2001 of Bangladesh, with the seat of arbitration in Bangladesh Dhaka.
4.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from natural disasters (including cyclones, floods, or extreme weather events affecting Bangladesh Dhaka), government orders, or other events beyond reasonable control. The affected party shall notify the other within 48 hours of the occurrence.
4.9 Compliance: The Meteorologist warrants that all services rendered under this Purchase Order shall comply with the Bangladesh Meteorological Act, the Bangladesh Disaster Management Act, 2012, and all applicable regulations of the Bangladesh Dhaka City Corporation regarding environmental monitoring and public safety communications.
