This Purchase Order is issued by the São Paulo Municipal Infrastructure Agency to formally procure the professional services of a certified Meteorologist for the period of twelve (12) months, commencing July 1, 2025, and concluding June 30, 2026. The Meteorologist contracted under this Purchase Order shall perform the following duties within the jurisdiction of Brazil São Paulo:

• Provide daily meteorological bulletins and 72-hour weather forecasts for the entire São Paulo metropolitan area, including the city of São Paulo and its surrounding municipalities.
• Issue real-time severe weather alerts (thunderstorms, hail, tornadoes, flash flooding) to municipal emergency response teams in Brazil São Paulo.
• Conduct monthly climate risk assessments and seasonal outlook reports for infrastructure planning purposes in Brazil São Paulo.
• Operate and maintain the dedicated meteorological observation station located at the São Paulo Municipal Weather Center.
• Prepare annual climate impact reports addressing the effects of urban heat islands, air quality degradation, and precipitation variability on public infrastructure in Brazil São Paulo.
• Participate in at least four (4) emergency coordination meetings per quarter with the São Paulo Civil Defense (Defesa Civil) and the São Paulo State Meteorological Institute (Inmet – Regional São Paulo).
• Deliver a minimum of two (2) public educational workshops per year on weather preparedness for residents and business operators in Brazil São Paulo.

Payment shall be made via bank transfer (TED/PIX) to the account designated by the Supplier within fifteen (15) business days following the end of each calendar month. All amounts are denominated in Brazilian Reais (BRL) and are subject to applicable withholding taxes (IRRF, INSS, ISS) as mandated by the tax authorities of Brazil São Paulo. The total value of this Purchase Order is fixed and shall not be subject to unilateral revision except by mutual written agreement of both parties.

• Validity: This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
• Qualification: The Meteorologist assigned to this contract must hold a minimum of a Bachelor's degree in Meteorology (Licenciatura ou Bacharelado em Meteorologia) from a recognized Brazilian institution, be registered with the relevant professional council, and possess a minimum of five (5) years of professional experience in operational meteorology within Brazil São Paulo or equivalent tropical/subtropical environments.
• Performance Standards: The Meteorologist shall maintain a forecast accuracy rate of no less than 85% for 24-hour precipitation and temperature predictions, as verified by the Inmet São Paulo regional office.
• Confidentiality: All meteorological data, proprietary models, and internal communications generated under this Purchase Order shall be treated as confidential by the Supplier and shall not be disclosed to third parties without prior written consent from the Buyer.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the aggrieved party may terminate immediately upon written notice. Termination shall not affect obligations accrued prior to the effective date of termination.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Brazil São Paulo, State of São Paulo.
• Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to extreme weather events, natural disasters, or governmental actions affecting operations in Brazil São Paulo.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Meteorologist in Brazil São Paulo.
