- Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by both parties. The Meteorologist or authorized representative of Vancouver Atmospheric Sciences Group Ltd. must sign and return this document within five (5) business days of issuance.
- Performance Period: All services described in this Purchase Order shall be rendered commencing July 1, 2025, and concluding September 30, 2025, unless extended by mutual written agreement. The Meteorologist shall maintain full operational readiness throughout the performance period for the Canada Vancouver service area.
- Payment Terms: Payment shall be made within thirty (30) days of invoice receipt. Invoices shall be submitted monthly on the last business day of each calendar month. All payments shall be made in Canadian Dollars (CAD) via electronic funds transfer to the account designated by the Seller. Late payments shall accrue interest at 1.5% per month as per the Commercial Sales Practices Act of British Columbia.
- Quality of Service: The Meteorologist engaged under this Purchase Order shall adhere to the professional standards set forth by the CMOS and the Meteorological Service of Canada (MSC). Forecast accuracy for the Canada Vancouver region shall meet or exceed a 92% skill score relative to climatology for 72-hour predictions.
- Confidentiality: All meteorological data, proprietary forecasting models, and client-specific climate analyses generated under this Purchase Order shall be treated as confidential. The Meteorologist and all associated personnel shall not disclose any information pertaining to the Canada Vancouver client operations to third parties without prior written consent.
- Compliance: All services shall be performed in compliance with applicable federal and provincial legislation, including the Canada Labour Code, the Employment Standards Act (British Columbia), and all environmental regulations governing meteorological data collection in the Canada Vancouver area.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Meteorologist shall deliver all completed work products and data sets to the Buyer within ten (10) business days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes shall be resolved through arbitration in Canada Vancouver in accordance with the Arbitration Act (British Columbia).
- Insurance: The Seller shall maintain professional liability insurance with a minimum coverage of $2,000,000 CAD and general liability insurance of $1,000,000 CAD for the duration of this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to extreme weather events affecting the Canada Vancouver region, natural disasters, or government-mandated shutdowns.
All deliverables under this Purchase Order, including but not limited to the Climate Risk Assessment Report, data integration systems, and meteorological instrumentation, shall be delivered to the Buyer's premises at 1200 Granville Street, Vancouver, BC. The Meteorologist shall provide a written completion certificate for each deliverable. The Buyer shall have ten (10) business days to inspect and accept or reject each deliverable. Rejection must be accompanied by a detailed written explanation of non-conformance.
