  1. Validity: This Purchase Order is valid for a period of twelve (12) months from the date of issue, commencing July 1, 2025, and concluding June 30, 2026. Any extension beyond this period requires a written amendment signed by both parties.
  2. Payment Terms: Payment shall be made in quarterly installments within thirty (30) days of receipt of the corresponding deliverable. The Meteorologist shall submit itemized invoices referencing this Purchase Order number (CGZ-MET-2025-00472) for each billing cycle.
  3. Performance Standards: The Meteorologist shall maintain a minimum of 95% accuracy in short-range forecasts (0–72 hours) for the China Guangzhou area, as verified against the China Meteorological Administration (CMA) reference data. Failure to meet this standard for two consecutive months shall constitute a material breach of this Purchase Order.
  4. Compliance: All services rendered under this Purchase Order shall comply with the Meteorological Law of the People's Republic of China, the Guangdong Province Meteorological Regulations, and all applicable local ordinances governing meteorological data collection, dissemination, and public advisory in China Guangzhou.
  5.   6. Confidentiality: The Meteorologist agrees to treat all non-public meteorological data, municipal planning documents, and internal communications received in the course of this engagement as strictly confidential.   7. Termination: Either party may terminate this Purchase Order with sixty (60) days written notice.   8. Dispute Resolution: Any disputes arising from or related to this Purchase Order shall first be subject to good-faith negotiation.   9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to typhoons, floods, epidemics, or government-mandated shutdowns affecting operations in China Guangzhou.
  10. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, with specific reference to the Civil Code of the PRC and the Meteorological Law of the PRC.

The Meteorologist shall submit the following deliverables on the schedule outlined below. All reports shall be delivered in both Simplified Chinese and English, in PDF and editable Word formats, to the designated email address of the Buyer. A hard copy of the annual climate impact study shall be delivered to the office in China Guangzhou within ten (10) business days of completion.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order.
