4. TERMS AND CONDITIONS
  1. Scope of Work: The Meteorologist engaged under this Purchase Order shall perform all duties in compliance with the regulations established by the Instituto Nacional de Meteorología e Hidrología (INMH) of Colombia and the technical standards of the World Meteorological Organization (WMO). All forecasts and climate advisories must be geographically specific to the Colombia Medellín region, accounting for its elevation (approximately 1,500 meters above sea level), microclimates, and the influence of the Central and Western Cordillera of the Andes.
  2. Contract Duration: This Purchase Order is valid for a period of twelve (12) months commencing on July 1, 2025, and terminating on June 30, 2026, unless renewed in writing by both parties no later than thirty (30) days prior to expiration.
  3. Payment Terms: Payment shall be made in monthly installments within fifteen (15) business days following the receipt of a valid invoice and the corresponding service report. All payments shall be processed in Colombian Pesos (COP) via bank transfer to the account designated by the supplier. Late payments shall accrue interest at the rate established by the Superintendencia Financiera de Colombia.
  4. Performance Standards: The Meteorologist shall maintain a minimum forecast accuracy rate of 85% for 24-hour and 48-hour predictions within the Colombia Medellín metropolitan area. Monthly performance reviews shall be conducted by the Buyer's technical committee.
  5. Confidentiality: All meteorological data, proprietary models, and internal reports generated under this Purchase Order shall be treated as confidential. The Meteorologist shall not disclose any information to third parties without prior written consent from the Buyer.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for cause, the terminating party must provide a detailed justification in accordance with Colombian commercial law (Código de Comercio, Libro IV).
  7. Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Republic of Colombia. Any disputes arising from this agreement shall be resolved through the competent commercial courts of Medellín, Antioquia, Colombia.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations due to extraordinary weather events, natural disasters, or governmental actions affecting operations in Colombia Medellín, provided that the affected party notifies the other within forty-eight (48) hours.
  9. Compliance: The Meteorologist must hold a valid professional license issued by the Colombian Ministry of Education and demonstrate a minimum of five (5) years of experience in tropical and subtropical meteorology. Proof of registration with the Colombian Chamber of Commerce in Medellín shall be provided prior to contract commencement.
5. DELIVERY & EXECUTION LOCATION

All services under this Purchase Order shall be executed at the primary facility of the Buyer located in Colombia Medellín, Antioquia, or at such other locations within the metropolitan area as may be mutually agreed upon in writing. The Meteorologist is expected to be physically present at the designated workstation no fewer than five (5) days per week, with additional on-site availability during declared weather emergencies.
