This Purchase Order is issued by the National Meteorological and Hydrological Service of the Democratic Republic of the Congo to formally engage the services of a qualified Meteorologist and associated atmospheric science personnel to provide comprehensive weather forecasting, climate analysis, and severe weather warning services for the DR Congo Kinshasa metropolitan area and surrounding provinces. All amounts are denominated in United States Dollars (USD). Payment shall be processed through the Central Bank of the Congo (Banque Centrale du Congo) in Kinshasa, DR Congo Kinshasa, in accordance with applicable foreign exchange regulations.
- Payment Terms: Payment shall be made in quarterly installments within thirty (30) calendar days of receipt of a valid invoice from the Supplier. The first installment is due upon successful onboarding of the Meteorologist and commencement of services.
- Performance Period: The services described in this Purchase Order shall be rendered over a period of twelve (12) months, commencing on 1 July 2025 and concluding on 30 June 2026, unless extended by mutual written agreement.
- Quality Standards: The Meteorologist and all associated personnel shall adhere to the World Meteorological Organization (WMO) standards and the specific operational guidelines of the SNMH. All forecasts issued for DR Congo Kinshasa must carry a minimum accuracy threshold of 85% for 24-hour precipitation forecasts.
- Intellectual Property: All data, reports, models, and software developed under this Purchase Order shall remain the exclusive property of the SNMH, DR Congo Kinshasa. The Supplier grants a perpetual, irrevocable license for government use.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding sensitive meteorological data, security protocols, and internal communications pertaining to DR Congo Kinshasa operations.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination for cause, the terminating party must provide a detailed written justification.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Democratic Republic of the Congo. Any disputes shall be resolved through arbitration in Kinshasa, DR Congo Kinshasa, in accordance with the rules of the OHADA arbitration center.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, civil unrest, government decrees, or other events beyond reasonable control affecting operations in DR Congo Kinshasa.
- Compliance: The Supplier warrants that the Meteorologist engaged holds valid professional certification recognized by the WMO and the Congolese Ministry of Higher Education. All personnel must possess valid work permits for DR Congo Kinshasa.
This Purchase Order constitutes a binding commitment upon signature by both parties. By signing below, the Buyer confirms the authorization of funds and the acceptance of the scope of Meteorologist services described herein for the DR Congo Kinshasa operational zone. The Supplier confirms availability, technical capacity, and agreement to all terms stated in this Purchase Order.
