- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic, with exclusive jurisdiction vested in the competent courts of Naples, Italy.
- Qualification Requirements: The Meteorologist engaged under this Purchase Order must hold a minimum of a Master's degree in Meteorology or Atmospheric Sciences from an accredited Italian or European university, possess at least eight (8) years of professional experience in operational meteorology, and be registered with the Italian Meteorological Society (Società Meteorologica Italiana). - Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of a declared state of national emergency affecting Italy Naples, the Comune di Napoli reserves the right to extend the Meteorologist's engagement beyond the original contract period on a month-to-month basis at the rates specified herein.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to volcanic eruptions, major seismic events, or government-mandated lockdowns affecting the Italy Naples area.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be subject to good-faith mediation. If unresolved within thirty (30) days, the matter shall be referred to the competent civil court in Naples, Italy.
By signing below, both parties acknowledge that this Purchase Order represents a mutual agreement to the terms, scope, and financial obligations described herein. The Meteorologist's services shall commence on 1 July 2025 and conclude on 30 June 2026, unless extended or terminated in accordance with the conditions set forth above.
