1. Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Seller. The Meteorologist or designated representative of Atmósfera Ibérica Meteorological Consulting S.L. must sign and return a copy of this document within ten (10) business days of the date of issue.
2. Service Location: All services rendered under this Purchase Order shall be performed primarily at the MMWCA offices located in Spain Madrid, with the Meteorologist required to be physically present in the Madrid metropolitan area for a minimum of four (4) days per week. Remote work from within the Comunidad de Madrid is permissible for the remaining days.
3. Payment Terms: Payment shall be made in quarterly installments within thirty (30) days of invoice receipt. The first installment of EUR 91,990.25 (including VAT) is due upon commencement of services. All payments shall be processed via bank transfer to the Seller's designated account in Spain.
4. Qualification Requirements: The Meteorologist assigned to this Purchase Order must hold a minimum of a Master's degree in Meteorology or Atmospheric Sciences, be registered with the Spanish Meteorological Society (Sociedad Española de Meteorología), and possess a minimum of eight (8) years of professional experience in operational forecasting for the Iberian Peninsula, with specific expertise in the Spain Madrid climatic zone.
5. Confidentiality: All meteorological data, proprietary forecasting models, and internal communications generated during the execution of this Purchase Order shall remain the exclusive property of the Buyer. The Meteorologist shall not disclose any sensitive atmospheric data pertaining to Spain Madrid to third parties without prior written consent.
6. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Seller shall deliver all completed reports and data pertaining to Spain Madrid within fifteen (15) days of the termination date.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from this agreement shall be resolved by the competent courts of Spain Madrid.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to extraordinary meteorological events (e.g., unprecedented storms, volcanic activity) that render the Meteorologist's services temporarily impossible to deliver in the Spain Madrid region.
