This Purchase Order is issued by Valencia Coastal Infrastructure & Logistics S.L. to formally engage the services of a qualified Meteorologist to provide comprehensive atmospheric and weather-related consulting services for all operational facilities located in Spain Valencia. The Meteorologist shall be responsible for delivering accurate meteorological forecasts, climate risk assessments, and weather advisory reports that directly support the Buyer's port operations, logistics scheduling, and coastal infrastructure maintenance programs throughout the Valencia region.

The Meteorologist engaged under this Purchase Order must hold a minimum of a Master's degree in Meteorology or Atmospheric Sciences, possess active registration with the Spanish Meteorological Agency (AEMET), and demonstrate a minimum of eight (8) years of professional experience in operational meteorology, with particular expertise in Mediterranean coastal weather patterns relevant to the Spain Valencia area.

  1. Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Meteorologist within five (5) business days of the date of issue. The Meteorologist's acceptance confirms full understanding of all service requirements specific to the Spain Valencia operational environment.
  2. Service Standards: The Meteorologist shall ensure that all forecasts, reports, and advisory communications meet or exceed the accuracy standards established by AEMET for professional meteorological services in Spain. All deliverables must be submitted in both Spanish and English to accommodate the Buyer's international logistics partners operating in Valencia.
  3. Confidentiality: The Meteorologist agrees to maintain strict confidentiality regarding all proprietary operational data, infrastructure details, and logistical information of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
  4. Compliance: The Meteorologist shall comply with all applicable Spanish national regulations, the Autonomous Community of Valencia regional meteorological service guidelines, and all relevant European Union directives pertaining to professional meteorological practice.
  5. Payment: Invoices shall be submitted monthly in arrears. Payment shall be made via bank transfer to the account designated by the Meteorologist within thirty (30) calendar days of the invoice date. Late payments shall accrue interest at the rate established under Spanish commercial law (Ley de Morosidad).
  6. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Meteorologist shall complete all in-progress reports and deliver all outstanding deliverables for the Spain Valencia operational zone before the effective termination date.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to extraordinary weather events, natural disasters, or governmental actions affecting the Spain Valencia region, provided that the affected party notifies the other within forty-eight (48) hours.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from this agreement shall be resolved by the competent courts of Valencia, Spain.
  9. Intellectual Property: All reports, analyses, and forecasts produced specifically for the Buyer under this Purchase Order shall remain the intellectual property of the Buyer. The Meteorologist retains the right to use anonymized, aggregated data for academic or professional development purposes.
  10. Insurance: The Meteorologist shall maintain professional liability insurance with a minimum coverage of €500,000 for the duration of this Purchase Order, with the Buyer named as an additional insured party.

All meteorological deliverables under this Purchase Order shall be submitted electronically via the Buyer's secure document management portal. Daily forecasts for the Spain Valencia zone must be delivered no later than 05:00 CET each working day. Weekly risk assessments are due by 17:00 CET on Fridays. Monthly and quarterly reports shall be delivered by the fifth (5th) business day of the following month or quarter, respectively. The annual comprehensive report for the Spain Valencia operational zone shall be delivered by 31 July 2025 for the first reporting cycle.
