5.1 This Purchase Order is governed by the laws of England and Wales, United Kingdom. Any disputes arising from this Meteorologist engagement shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.

5.2 The Meteorologist shall maintain full professional indemnity insurance with a minimum cover of £5,000,000 throughout the contract term and shall provide a certificate of insurance upon request.

5.3 All forecasts, advisory briefings, and climate risk reports produced by the Meteorologist shall be delivered in written form (PDF) via the Buyer's designated email portal no later than 05:30 on each business day for daily forecasts, and within 48 hours for quarterly reports.

5.4 The Meteorologist is engaged as an independent contractor and not as an employee of Midlands Industrial Weather Solutions Ltd. The Meteorologist shall be responsible for all applicable income tax and National Insurance contributions in accordance with United Kingdom tax legislation.

5.5 Payment terms: Net 30 days from the date of a valid invoice. Invoices shall be submitted monthly in arrears. Late payment shall attract interest at the rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

5.6 The Buyer reserves the right to terminate this Purchase Order with 60 days' written notice. In the event of termination, the Meteorologist shall be compensated for all services rendered up to the effective date of termination.

5.7 All data, reports, and intellectual property generated specifically for the Buyer under this Purchase Order shall remain the sole property of Midlands Industrial Weather Solutions Ltd. The Meteorologist shall not disclose any proprietary operational information to third parties.

5.8 The Meteorologist shall comply with all applicable United Kingdom data protection regulations, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, in the handling of any personal data encountered during the engagement.

All services under this Purchase Order shall be performed primarily at the Buyer's headquarters located in Birmingham, United Kingdom (B31 3QZ), with additional on-site visits to the Buyer's facilities in Coventry, Wolverhampton, and Dudley as specified in Line Item 04. Remote advisory services may be conducted from the Meteorologist's registered address in Birmingham, B15 2TN, United Kingdom, provided that all deliverables meet the quality and timeliness standards set forth herein.

This Purchase Order becomes binding upon signature by both parties. By signing below, the Meteorologist acknowledges receipt of this Purchase Order and agrees to perform the services described herein in full compliance with all stated terms and conditions.
