- Acceptance: This Purchase Order becomes binding upon written acceptance by the vendor. The Meteorologist or designated representative must sign and return a copy of this document within five (5) business days of issuance.
- Performance Location: All services described herein shall be performed at or near the INAMEH headquarters in Venezuela Caracas, or at such other locations within the Caracas metropolitan area as mutually agreed in writing. Remote services may be conducted from the vendor’s office in Venezuela Caracas provided real-time data access is maintained.
- Qualifications: The Meteorologist assigned to this Purchase Order must hold a minimum of a Master’s degree in Meteorology, Atmospheric Sciences, or a closely related discipline, and possess no fewer than eight (8) years of professional experience in operational forecasting. A valid professional license issued by the Venezuelan Council of Engineers and Architects (C&O;N) is mandatory.
- Payment Terms: Payment shall be made in three (3) equal installments: 40% upon execution of this Purchase Order, 35% upon delivery of the first quarterly report, and 25% upon final acceptance of all deliverables. Payments shall be processed via bank transfer to the vendor’s account in a Venezuelan financial institution, denominated in US Dollars (USD) as permitted under the Central Bank of Venezuela (BCV) exchange regulations.
- Confidentiality: All atmospheric data, proprietary forecasting models, and internal communications exchanged under this Purchase Order shall be treated as confidential. The Meteorologist shall not disclose operational data pertaining to Venezuela Caracas weather infrastructure to any third party without prior written authorization from INAMEH.
- Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination, the vendor shall be compensated for all services rendered up to the termination date, as documented in the Meteorologist’s activity log.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Bolivarian Republic of Venezuela. Any disputes arising from this agreement shall be resolved through arbitration in Venezuela Caracas in accordance with the rules of the Cámara de Comercio de Caracas.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to extraordinary meteorological events (hurricanes, volcanic activity, or seismic events) affecting Venezuela Caracas, provided that the affected party notifies the other within forty-eight (48) hours.
