The Midwife engaged under this Purchase Order shall operate primarily at the Darulaman Community Health Center and the Wazir Akbar Khan District Maternity Ward, both located in Afghanistan Kabul. The scope of services includes but is not limited to: routine antenatal check-ups, labor and delivery assistance, postnatal follow-up visits, neonatal care and immunization support, family planning counseling, and emergency obstetric intervention in coordination with the Kabul General Hospital surgical team.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Islamic Republic of Afghanistan, specifically the Public Procurement Law of Afghanistan (2014) and the Ministry of Public Health regulations governing the practice of Midwife professionals in Afghanistan Kabul.
- Payment Terms: Payment shall be made in three (3) equal monthly installments within fifteen (15) business days of the end of each service month. The first installment is due no later than 15 July 2025. Payments shall be processed via bank transfer to the Midwife's designated account at Kabul Bank, Afghanistan Kabul branch.
- Service Location: All services under this Purchase Order shall be rendered within the administrative boundaries of Afghanistan Kabul. The Midwife shall maintain a primary base at the Darulaman Community Health Center and shall be available for emergency deployment to any district health facility within Kabul city limits.
- Professional Standards: The Midwife shall adhere to the clinical protocols established by the Ministry of Public Health of Afghanistan and the World Health Organization (WHO) recommendations for safe motherhood. All patient records shall be maintained in accordance with Afghan data protection regulations.
- Insurance and Liability: The Midwife shall maintain valid professional liability insurance covering a minimum of 5,000,000 AFN for the duration of this Purchase Order. The Purchasing Entity shall provide occupational health and safety coverage for the Midwife while on duty at government facilities in Afghanistan Kabul.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Midwife shall be compensated for all services rendered up to the effective date of termination. The Purchasing Entity reserves the right to terminate immediately for gross professional negligence or violation of the Midwife's license conditions.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to armed conflict, natural disasters, government-imposed curfews, or public health emergencies affecting Afghanistan Kabul.
- Confidentiality: The Midwife shall maintain strict confidentiality regarding all patient information in compliance with Afghan medical ethics codes. This obligation survives the termination of this Purchase Order.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through mediation at the Kabul Provincial Health Directorate. If unresolved within thirty (30) days, the matter shall be referred to the competent courts of Afghanistan Kabul.
- Language: This Purchase Order is executed in English. In the event of any translation, the English version shall prevail. All clinical documentation produced by the Midwife shall be in Dari and/or Pashto as appropriate for the patient population in Afghanistan Kabul.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Midwife services in Afghanistan Kabul. This document constitutes a binding agreement effective from the date of the last signature.
