- Scope of Engagement: This Purchase Order authorises the engagement of the above-named Registered Midwife to provide clinical midwifery services as itemised herein. All services shall be delivered in accordance with the National Midwifery Workforce Standards and the Nursing and Midwifery Board of Australia (NMBA) Code of Conduct for Midwives, effective in Melbourne, Victoria, Australia.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Midwife provider. Payment will be processed via Electronic Funds Transfer (EFT) to the bank account nominated by the supplier. All amounts are quoted in Australian Dollars (AUD) and are inclusive of applicable Goods and Services Tax (GST) as administered by the Australian Taxation Office.
- Service Delivery Location: All midwifery services under this Purchase Order shall be rendered within the greater Melbourne metropolitan area, Victoria, Australia, unless otherwise agreed in writing. The primary service base shall be the Melbourne Midwifery & Birth Care Centre, 45 Swanston Street, Melbourne VIC 3000.
- Compliance and Regulation: The Midwife provider warrants that they hold a current, unencumbered registration with the Nursing and Midwifery Board of Australia (NMBA) and are in full compliance with all Victorian and Commonwealth health legislation, including the Health Services Act 1988 (Vic), the Privacy Act 1988 (Cth), and the Australian Privacy Principles (APPs). The provider shall maintain professional indemnity insurance of no less than AUD $5,000,000 for the duration of this Purchase Order.
- Confidentiality: The Midwife shall treat all patient information, clinical records, and organisational data as strictly confidential in accordance with the Victorian Health Records Act 2001 and the Australian Privacy Principles. No patient-identifiable information shall be disclosed to Yarra Valley Maternal Health Services Pty Ltd or any third party without the explicit written consent of the patient.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Midwife provider shall be compensated for all services rendered up to the date of termination. Yarra Valley Maternal Health Services reserves the right to terminate immediately in the event of a material breach of the NMBA Code of Conduct or any applicable Australian healthcare legislation.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Victoria, Australia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia, and may be referred to the Victorian Civil and Administrative Tribunal (VCAT) for resolution.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated public health restrictions as may be declared in Melbourne, Victoria, or across Australia.
- Acceptance: This Purchase Order constitutes a binding agreement upon signature by both parties. The Midwife provider's acceptance of this Purchase Order confirms their availability, clinical competence, and willingness to deliver the specified midwifery services within the Melbourne, Australia service area.
