1. Scope of Engagement: The Supplier shall provide all Midwife services as detailed in the line items above. Each Midwife assigned to this Purchase Order must be a registered midwife with AHPRA and must demonstrate a minimum of five (5) years of clinical experience in obstetric and neonatal care within Australia Sydney or equivalent Australian jurisdictions.
2. Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice. The Buyer reserves the right to withhold payment for any services not rendered in accordance with the specifications outlined in this Purchase Order. All amounts are quoted in Australian Dollars (AUD) inclusive of applicable Goods and Services Tax (GST) at the current rate of 10%.
3. Delivery and Commencement: All Midwife services and equipment referenced in this Purchase Order must be operational no later than 01 August 2025. The Supplier shall provide a detailed staffing roster and equipment delivery schedule to the Buyer's Procurement Division no fewer than fourteen (14) days prior to the commencement date.
4. Compliance and Regulation: The Supplier warrants that all Midwife practitioners engaged under this Purchase Order comply with the Health Practitioner Regulation National Law (as applied in New South Wales), the Australian Privacy Act 1988, and all relevant Australia Sydney local health district guidelines. Failure to maintain compliance shall constitute grounds for immediate termination of this Purchase Order.
5. Quality Assurance: The Supplier shall submit quarterly performance reports to the Buyer detailing Midwife attendance rates, patient satisfaction scores, clinical incident reports, and CPD compliance. The Buyer reserves the right to conduct unannounced quality audits at any Australia Sydney service site.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. The Buyer may terminate immediately in the event of material breach, loss of AHPRA registration by any contracted Midwife, or failure to meet the quality thresholds defined in Schedule B of the Master Service Agreement.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Australia Sydney.
