4.1 Scope of Engagement: This Purchase Order authorises the engagement of the named Midwife, Ms. Sophie Lemaître, to provide professional midwifery services as described in Section 3. All services shall be rendered in accordance with the professional standards established by the Belgian Federal Government and the Brussels-Capital Region health authority (SPF Santé Publique). The Midwife shall operate within the jurisdiction of Belgium Brussels and comply with all applicable regional and federal regulations governing maternal and neonatal care.
4.2 Duration: This Purchase Order is valid for a period of twelve (12) months from the date of acceptance, commencing on 1 July 2025 and concluding on 30 June 2026, unless terminated earlier in accordance with Clause 4.6.
4.3 Payment Terms: Invoices submitted by the Midwife shall be paid within thirty (30) calendar days of receipt by the HRB Accounts Payable Department. Payment shall be made via bank transfer to the account specified on the Midwife's invoice. All amounts are denominated in Euros (EUR). Late payments shall accrue interest at the rate prescribed by Belgian law (Code de droit économique, Article XII.1).
4.4 Professional Compliance: The Midwife warrants that she holds a valid professional licence issued by the Belgian authorities and that her registration on the Belgian Midwife Register remains in good standing throughout the duration of this Purchase Order. She shall maintain adequate professional liability insurance and provide proof of coverage upon request.
4.5 Data Protection: In accordance with the General Data Protection Regulation (GDPR) and the Belgian Data Protection Act (Loi du 30 juillet 2018), the Midwife shall handle all patient data with the strictest confidentiality. No patient information shall be transferred outside the European Economic Area without explicit written consent from the data subject.
4.6 Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of a breach of professional standards, the HRB reserves the right to terminate this Purchase Order immediately upon written notice, in accordance with Belgian contract law (Code civil, Articles 1184 and 1227).
4.7 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of Belgium. Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the competent courts of Brussels, Belgium Brussels.
4.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures in the Belgium Brussels region.
