3.1 Scope of Service: This Purchase Order authorizes the Coastal Midwifery Collective, Vancouver, to provide the midwifery services as itemized above. All midwife services shall be delivered in full compliance with the Midwifery Act of British Columbia and the regulatory standards set forth by the College of Midwives of British Columbia. The lead midwife, Ms. Katherine Morrison, shall be the primary point of contact and clinical decision-maker throughout the engagement.
3.2 Service Location: All in-person midwife consultations, the labour and delivery event, and postpartum visits shall take place at the client's private residence located in the city of Vancouver, British Columbia, Canada, or at such other location within the Vancouver metropolitan area as mutually agreed upon in writing by both parties.
3.3 Payment Terms: A deposit of 30% ($2,902.73 CAD) is due upon acceptance of this Purchase Order. The remaining balance of 70% ($6,773.02 CAD) shall be paid within thirty (30) calendar days following the completion of all postpartum midwife services. Payment shall be made via electronic funds transfer (EFT) to the vendor's registered business account in Vancouver, BC. Late payments shall accrue interest at the rate of 1.5% per month as permitted under the Interest Act of Canada.
3.4 Cancellation and Refund Policy: Should the client need to cancel midwifery services prior to the onset of labour, a 50% refund of the deposit shall be issued. Cancellations after the onset of active labour are non-refundable, as the midwife will have been on standby in Vancouver. In the event of a medical emergency requiring hospital transfer, the midwife's on-call fee remains payable, and hospital charges are the sole responsibility of the client.
3.5 Professional Standards and Liability: The midwife shall maintain valid registration with the College of Midwives of British Columbia throughout the term of this Purchase Order. The vendor's professional liability insurance, as noted in Section 1, shall remain in force for the duration of the engagement and for a minimum of two (2) years following the final service date. Any breach of professional conduct as defined by the BC College of Midwives shall constitute grounds for immediate termination of this Purchase Order without penalty to the purchasing party.
3.6 Confidentiality and Data Protection: All client health information collected by the midwife during the course of service delivery in Vancouver shall be handled in strict accordance with the Personal Information Protection Act (PIPA) of British Columbia and the federal Privacy Act of Canada. No client records shall be shared with third parties without written consent, except where disclosure is mandated by law.
3.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through mediation in Vancouver, BC, before proceeding to the Small Claims Court of British Columbia.
