Terms and Conditions
  1. Scope of Engagement: The Supplier shall provide a fully licensed and registered Midwife who holds a valid Midwifery Practice Certificate issued by the National Health Commission of the People's Republic of China. The Midwife shall be physically present and available at the designated facility in Beijing, China for the entire duration of this Purchase Order.
  2. Compliance with Local Regulations: All services rendered by the Midwife shall comply with the Maternal and Infant Health Care Law of the People's Republic of China, the Regulations on the Administration of Medical Institutions, and all municipal health regulations specific to Beijing, China. The Purchase Order is subject to review by the Beijing Municipal Health Commission.
  3. Payment Terms: Payment shall be made in Renminbi (CNY) via bank transfer to the Supplier's designated account. A 30% advance payment is due upon acceptance of this Purchase Order. The remaining 70% shall be paid in two equal installments: 50% upon completion of the delivery phase and 50% upon completion of the postnatal care period. All payments are subject to the standard 13% VAT applicable in Beijing, China.
  4. Service Standards: The Midwife shall adhere to the clinical protocols established by the Beijing Maternal & Child Health Center and the evidence-based midwifery practice guidelines published by the Chinese Medical Association. Any deviation from protocol must be documented and reported to the facility's medical director within 24 hours.
  5. Confidentiality and Data Protection: The Midwife and the Supplier shall maintain strict confidentiality of all patient medical records in accordance with the Personal Information Protection Law of the People's Republic of China. All patient data collected in Beijing, China shall be stored on servers physically located within the People's Republic of China.
  6. Insurance and Liability: The Supplier shall maintain professional liability insurance with a minimum coverage of CNY 2,000,000 per incident for the Midwife's services. The insurance policy shall name the Beijing Maternal & Child Health Center as an additional insured party. Proof of insurance shall be provided prior to the commencement of services.
  7. Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination during an active pregnancy, the Supplier shall ensure a qualified replacement Midwife is arranged within 72 hours to maintain continuity of care for the patient in Beijing, China.
  8. Dispute Resolution: Any disputes arising from this Purchase Order shall first be resolved through good-faith negotiation. If unresolved within 30 days, the matter shall be submitted to the Beijing Arbitration Commission for binding arbitration in accordance with its rules of procedure. The governing law shall be the law of the People's Republic of China.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, public health emergencies, or government-mandated restrictions in Beijing, China.
  10. Validity: This Purchase Order is valid for acceptance within 30 calendar days from the date of issue. Failure to accept within this period shall render this document null and void, and the Buyer reserves the right to reissue a revised Purchase Order for Midwife services in Beijing, China.
Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications set forth in this Purchase Order for the engagement of a Midwife at the facility located in Beijing, China. This document constitutes a binding agreement between the parties upon execution.
