This Purchase Order is issued by the Shanghai Pudong District Health Administration Bureau to procure the professional services of certified Midwife personnel and associated maternal care resources for deployment at the Shanghai International Maternal & Child Health Center. All Midwife personnel and associated resources procured under this Purchase Order shall be deployed at the designated facility in China Shanghai no later than July 1, 2025. The Midwife training program (Item 03) shall commence on July 15, 2025 and conclude by August 29, 2025. All equipment deliveries (Item 05) must be completed, installed, and calibrated at the China Shanghai site by June 30, 2025. The Supplier shall provide a detailed deployment schedule to the Purchaser within five (5) business days of this Purchase Order's acceptance.
Payment for this Purchase Order shall be made via bank transfer to the Supplier's designated account in China Shanghai. The payment schedule is as follows: (a) 30% advance payment upon signed acceptance of this Purchase Order; (b) 40% upon completion of Midwife deployment and equipment installation; (c) 30% final payment upon successful completion of the 12-month service period and final quality audit. All payments are subject to the Supplier providing valid VAT invoices (增值税发票) compliant with the State Taxation Administration of China.
7.1. This Purchase Order is governed by the Civil Code of the People's Republic of China and applicable Shanghai municipal regulations. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC).
7.2. All Midwife professionals engaged under this Purchase Order must maintain valid professional liability insurance with a minimum coverage of CNY 5,000,000 per incident, as mandated by the Shanghai Municipal Health Commission.
7.3. The Supplier warrants that all Midwife personnel shall comply with the "Regulations on the Administration of Midwifery Practice in China" (中国助产实践管理条例) and shall not perform any procedure outside the scope of their licensed midwifery credentials.
7.4. The Purchaser reserves the right to conduct unannounced inspections of Midwife service delivery at the China Shanghai facility at any time during the contract period.
7.5. Confidentiality of all patient records and maternal health data shall be maintained in strict accordance with the "Personal Information Protection Law of the People's Republic of China" (2021) and Shanghai data protection ordinances.
7.6. Early termination of this Purchase Order may be invoked by either party with sixty (60) days' written notice, subject to a penalty of 10% of the remaining contract value.

This document constitutes a binding agreement upon execution by both authorized representatives.
