The Midwife engaged under this Purchase Order must hold a valid professional license issued by the Colombian health regulatory authority and must be registered with the Colegio Colombiano de Parteras. The Midwife shall operate exclusively within the premises of Clínica Materna Bogotá and, where applicable, within the administrative boundaries of Colombia Bogotá (Bogotá D.C.) for home-visit services. All clinical protocols must comply with the Resolución 3100 de 2019 and subsequent updates issued by the Ministerio de Salud y Protección Social de Colombia.

The Midwife is expected to maintain a minimum of 200 hours of continuing education annually, participate in institutional quality-improvement committees, and submit monthly activity reports to the Director of Obstetrics at Clínica Materna Bogotá. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the competent courts of Bogotá D.C., Colombia, in accordance with Colombian civil and commercial law.
Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, public health emergencies declared by the Colombian government, or civil unrest in Colombia Bogotá.
Insurance: The Midwife must maintain valid professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of COP 500,000,000, issued by an insurer licensed by the Superintendencia Financiera de Colombia.
