3. TERMS AND CONDITIONS

Scope of Service: This Purchase Order authorizes the engagement of the named Midwife and her support team to provide comprehensive maternal and neonatal care services within the Kinshasa metropolitan area, DR Congo. All clinical procedures must comply with the standards set by the Ministère de la Santé Publique, Hygiène et Action Sociale of the Democratic Republic of the Congo.
Service Period: The Midwife services described herein shall commence on 1 July 2025 and conclude on 31 December 2025, unless extended by mutual written agreement between both parties.
Payment Terms: Payment shall be made in two (2) equal installments: 50% upon successful completion of the first quarter of service delivery, and the remaining 50% upon final acceptance of all services rendered. Payment shall be processed via bank transfer to the supplier's account in USD or Congolese Francs (CDF) at the prevailing exchange rate on the date of payment.
Quality Assurance: The Midwife must maintain valid professional licensure throughout the contract period. KMH reserves the right to conduct quarterly performance reviews. Any clinical incident must be reported to KMH management within 24 hours.
Confidentiality: All patient records, medical data, and operational details pertaining to this Purchase Order shall be treated as strictly confidential in accordance with DR Congo data protection regulations.
Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Midwife shall be compensated for all services rendered up to the termination date.
Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Democratic Republic of the Congo. Any disputes shall be resolved through the competent courts of Kinshasa, DR Congo.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to civil unrest, epidemic outbreaks, or government-imposed restrictions within DR Congo.

All services under this Purchase Order shall be delivered at the following locations within Kinshasa, DR Congo:

KMH Partner Clinic A – Avenue de la Paix, Gombe, Kinshasa
KMH Partner Clinic B – Boulevard Lumumba, Lemba, Kinshasa
Community Health Post – Commune de Ngaliema, Kinshasa
Mobile Outreach Sites – as scheduled by KMH Field Coordinator
