This Purchase Order is issued by Al-Nil Maternal & Child Health Services, Cairo, Egypt, to formally engage the services of a licensed and certified Midwife for the provision of comprehensive obstetric and neonatal care at our facility located in the heart of Egypt Cairo. The Midwife engaged under this Purchase Order shall be responsible for the full spectrum of antenatal, intrapartum, and postnatal care in strict accordance with the clinical protocols established by the Egyptian Ministry of Health and Population and the World Health Organization guidelines for safe motherhood.
The Midwife shall operate exclusively within the premises of our Cairo, Egypt facility and shall report directly to the Chief Medical Officer. All services rendered under this Purchase Order must comply with the regulatory standards set forth by the Egyptian Medical Syndicate and the National Council for Midwifery in Egypt Cairo. The Midwife is expected to maintain a minimum of 48 hours of clinical presence per week, including scheduled on-call availability for emergency obstetric interventions.

- This Purchase Order is governed by the laws of the Arab Republic of Egypt and shall be interpreted in accordance with Egyptian commercial and labor legislation applicable to healthcare professionals in Egypt Cairo.
- The Midwife engaged under this Purchase Order must hold a valid, unexpired license issued by the Egyptian Ministry of Health and Population and must maintain professional indemnity insurance with a minimum coverage of EGP 2,000,000 for the entire duration of the contract.
- All Midwife services shall be rendered at the Al-Nil Maternal & Child Health Center, Cairo, Egypt, unless prior written authorization is granted by the Chief Medical Officer for off-site community programs within the Greater Cairo region.
- Payment shall be processed in Egyptian Pounds (EGP) via bank transfer to the Midwife's designated account within thirty (30) calendar days of receipt of a valid invoice and completion of the corresponding service period.
- The Midwife shall adhere to all infection control protocols, patient confidentiality standards, and ethical guidelines as prescribed by the Egyptian Medical Syndicate and the National Council for Midwifery in Egypt Cairo.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Midwife shall be compensated for all services rendered up to the effective date of termination.
- The Midwife shall submit a monthly performance report to the Head of Procurement detailing the number of antenatal visits, deliveries assisted, postnatal follow-ups conducted, and any adverse events or complications encountered during the service period in Egypt Cairo.
- All disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to the competent courts in Cairo, Egypt.
- This Purchase Order does not constitute an employment relationship. The Midwife is engaged as an independent professional service provider under the terms specified herein.
